Division of the Court of Common Pleas of Washington County at the Court
House,Washington,Pennsylvania,sometime during the week beginning
Monday,March 20,1972.You may be present at that time or represented
if you believe same to be necessary.
In the event you wish to conform the copy of the account previously provided,
my affidavit has been completed under date of November 15,1971,by Dolores
p.Meredith as Notary Public.Her commis sion expire s January 28,1975.
Immediately preceding the audits,we will submit an updated accounting to the

By and Between THOMAS O.HAUCK,of the Borough of Donora,
County of VI ashington,Comn1.o11\vealth of Pennsylvania,(hereinafter called
the "Insuredll)and MELLON NATIONAL BAi\iK AND TRUST COlvlPANY.a
national banking association authorized to engage in trust business in the
Comrnonwealth of Penns ylvania I (he reinafter called the "Trustee It),
WITNESSETH THAT
WHEREAS,the Insured desires to create a trust of the proceeds
of certain insurance policie s now in effect on his life,said policies being
described in Schedule "A"hereto attached,which said policies are or will
heTea.fter be made payable to and be deposited with the Trustee as beneficiary;
and
WHEREAS,the Trustee is willing to accept the trust and to hold
as Custodian the policies during the lifetim.e of the Insured,all upon the
terrns and conditions hereinafter set forth;

to notify the Insured that any prernhUYl or other charge is due an.d payable.
All options;'rights,privileges and ber13fits exercisable by or accruing to
the Insured during his lifetinie by the terrn.s of the policies held hereunder
shall be for the sole benefit of the Insured and shall not be subject to this
trust.The Insured agrees,however,that he will not exercise any options
which he may have under said policies whereby the proceeds would be payable
to the Trustee other than in one sum.Upon the written request of the Insured,
the Trustee shall execute and deliver such consents and instrurnents as l1'lay
be requisite to enable the Insured to exercise or avail himself of any option,
right,privilege or benefit granted by any of the policies.
(D)Upon the death of.the Insure d,or at such later time as D'lay
be specified in the policies,the net proceeds of an~T policies then payable to
the Trustee hereunder shall be collected by the Trustee and held under the
terms he reo£.The receipt of the Trustee for such proceeds shall release
the insurance compar:ies from liability on the policies,and He insill ance
companie s shall be under no duty to se e to the application of stlch proceeds.
The Trustee may take all steps necessary in its opinion to enforce paym.ent
of said policies and shall be entitled to indemnify itself out of any property
held hereunder against all expenses incurred in taking such action .

(A)The Insured or any'other person may increase the principal
of any trust hereunder,\vith the consent of the Trustee,by Dlaking other
policies of hfe insur2.Yice pa)'2.blc to the Trustee as beneficiary or by
adding assets hereto by 'Will,gift,inter vivos designation of beneficiary

or otherwise;PROVIDED,however,that only policies of life insurance lYlay
be added during the lifetime of the Insured.
(B)The Insure d reserves the right to revoke this Agreement.
in whole or in part by written notice to the Trustee,in which event the .
Trustee shall deliver to the Insured or his nominee the insurance policy or
policies affected,together with sus:h instruments in writing as may be
required to effect the purposes of the Insured.Such delivery of any policy
ShetH relieve the Trustee from any lia.bility for the safekeeping thereof.
Unless such revocation is rnade expressly dependent upon an effective change
in the beneficiary de signation,it shall become effective upon receipt by the
Trustee;and if the death of the Insured should occur before such beneficiary
change becom:e s effective,any proceeds 'of insurance receiv'ed by the.Trustee
shall be paid by it to the personal representative of the Insure d,and the
receipt of such persona.l representative shan be a full discharge of all liability
of the Trustee hereunder.If the Insured changes the designation of beneficiary
of any policy,such act shall have the effect of revoking this trust ''lith respect
to such policy.In the event of revocation of this Agreement,the Trustee
shall be entitled to reasonable cornpensation,not to exceed the surn of ONE
HUNDRED ($lOO}DOLL.fL.1=\S.
(C)The Insured further reserves the right to alter or amend
this Agreement by a proper instrument in writing,executed by the Insured
end delivered to and accepted by the Trustee.

extent that such interests in property and proceeds of insurance are included
in the Insured's gross estate for Federal estate tax purposes and qualify for
the marital deduction.This portion shall be undiminished and unaffected by
any death taxes.There shall not be allocated to this portion any property
or t.he proceeds of any property which would not be allowed as a part of the
marital de.duction.
For the purpose of this Agreement,if the deaths of the Insured
anclllis wife occur under such circulhstances that there is no sufficient
evidence that they have died othe rwise than simultaneously,said wife shall
be pre sUD1ecl to have survived the Insured,and any pr esumption of law to
the contrary shall not be applicable.

The re.st of the Trust Estate,or all the Trust Estate if the
Insured's wife should predecease the Insured,shall be held.by the Trustee

if living would have been entitled.
(a)Any share so set apart for issue of a deceased
chilc1.shall be transferred and delivered to such issue absolutely,per
stirpes,subject to the provisions of the rnino l'beneficial'y clau se he rein-

•Insured shall be held in a separate trust.The Trustee shall pay the Income
therefrom.quarter-annually to or for the benefit of such child for so long as

of twenty-five (25)years he may withdraw from principal such sums as shall
not exceed one-half (l/2)the Diarket value of said principal as constituted
on his twenty-fifth (25th)birthday or on the later division into shares,and th;;tt

living,·shall be transferred and delivered to such pe'rsons as,by the laws
of Pennsylvania,would have been entitled thereto if the Insured and his wife,
LAURA JANE HAUCI.(,had each been legally seized and possessed of one-half
(1/2)thereof in his or her own right and had both died at that time intestate and
d01:niciled in Pennsylvania.
(C)In the event that any payments of Income hereinbefore
authorized to be made to any beneficiary shall.be insufficient in the opinion
of the Trustee to provide for the weLfare,comfort,recreation,support and

education of such beneficiary and members of his immediate family;the
Trustee is authorized in its discretion to use from ti111e to time so 111uch
of the principal of the trus t fro:n1 which such beneficiary is then entitled to
receive Income as rnay in the opinion of the Trustee be advisable therefor.
(D)If a~1j minor becomes entitled hereunder to a share of
principal,such share shall be retained by the Trustee;and so rnuch of the
Income and principal as the T1'ustee may deem necessal;y for the rninor's
welfare,comfort,recreation,support and education shall be paid by the
Trustee to the person having custody of such minor,without liability on the
part of the Trustee to see to the application thereof,or shall be applied
directly fOl"those purposes by the Trustee,and Clny Income not so expended
shall be added to and become a part of the princip2~t,to be invested hereunder.

(E)The interests of the beneficiaries hereunder shall not be
subject to a'nticipation or to voluntary or involuntary alienation;a1!d the
principal and Income shall be paid by the Trustee direct to or for the use of
the beneficiary entitled th'creto,without regard to any as signrnent,order,
attachrnent or claim whatever.
(F)Income acc rued on any prope rty received by the Trustee eithe r
at the inception of the trust or as an addition thereto shall be treated as
incom.e and not as principal.Upon the death of any beneficiary of lncom.e,
any undistributed Inc01ne in the hands of the Trustee held for such beneficiary
at the time of his death shall be paid to the person or person.1O for whose
benefit the principal producing such Income is continued in trust or to whom
it is distributed under the tern1S of this Agreement.
AR TICLEFIVE
In the adrninistration of the trusts herein created,the Trustee
~hall have,in addition to and not in limitation of any authority gi'tl to it
by law and without the necessity of obtaining the consent of any court,the
following powers:to accept in distribution of the Insured's estate and to
retain investments and property which are·a part of the Insured's estate,
or to purchase thenl frorn the InsurecPs estate if fUIlcls are required to pay
debts,taxes and expenses of adrninistration;to invest and reinvest the prillcipal
of the Trust Estate L'l any kind of property,real or personal,\vithout being
restricted to investrl1cn.ts which are legal for trust funds;to give options for

sales,.leases and exchanges;to bOT1"OW money;to seil,pledge,exchange
or.lnortgage any real or personal.property;to cornpromise clEl.ims;to lease
real or personal property for tetnis exceeding five (5)years;to join in or
oppose the rnerger,consoliciation,reorganization or readjustment of the
financial structure of any firrn or corporation in v/hich the Trust Estate may
have an interest;to carry securities in the name of a nominee;and to distribute
the Trust Estate either in cash or in kind..If any shares of DONORA LUMBER
COMPANY stock should be added to the Trust Estate,the Insured believes that
the same should be retained in kind for distribution to his children.Therefore,
he authorizes,but does not direct,the Trustee to retain the same for so long
as it deems advisable,without any iiability for so doing.
ARTICLE SIX
(A)The Trustee may resign at any time during the lifetime of
the Insured by written notice to the Insured and,subs equent to the death of
the Insured,by petitioning a court ofcompetent jurisdiction to designate and
appoint a successor corporate Trustee.At such tinle as the successor
Trustee shall accept the tn.lst,the Trustee shall deLiver to such successor
Trustee the securities and other property then constituting the trust or trusts
hereunder.The receipt of such successor Trustee shalt constitute a full and
complete release and discharge of the Trustee hereunder.In case of the
111erger or consolidation of the Trustee,the resultant cornpany shaLl become
succesSOl'Trus tee heTe1..mder without notice to any party.
(B)Every successor Trustee shall have all the rights,poweTs,
titks,privileges <''.Dd duties,w}le thel'dis cretionaTy or othe rwis e,herein
given to the original Trustee and shall be subject to the sarne reservations,
liInitations,tcrrns and conditions.

AR TICLE SEVEN
The Trustee shall be entitled to re-ceive annually compensation"
for its services hereunder 1n accordance \vith the schedule of conlpens'ation
of the Trustee currently in effect when the services are per£orm.eel,but not
in excess of such COIYlpensation as would be approved by a court of competent
jurisdiction.
AR TICLE EIGHT
Whenever used in this Agreement the singular shall include the
plural,the plural the singular and the use of any gender shall be applica ble
to 0.11 genders.As used herein,the tenD "issue"and sim.ilar terms shall
include children adopted before the death of the Insured in all respects as
if they \-vere the natural children of the adopting parents.
