Smith N.Whitworth,husband of the decedent was given power of appointment of the
disposition qf the assets of·this Trust.A copy of the Will is attached hereto and marked
Exhibit "A".Smith N.Whitworth died June 21,1971 having first made a Will dated September
10,1965 in which paragraph Seventh of his Will~he relinquished said power of appointment.
A copy of th~Will of Smith N.Whitworth is attached hereto and marked Exhibit "B"•.
Therefore,t4is Trust is distributable under the provisions under Paragraph Sixth (b)of
the Will of porothy D.'Whitworth which provides as follows:,
."In event.he fails to exercise said power of appointment,any assets
rem~ining in this Trust A at his death shall be added to and become a part
of Trust B hereinafter provided and the income paid and the principal
dist,ributed as a part thereof."•••
Paragraph Seventh (a)of the Will of Dorothy D.Whitworth,Deceased provides for the
disposition bf one-third (1/3)part of the residuary trust for the benefit of John D.
Whitworth;'son.The said John D.·Whitworth died November 5,1966 survived by no issue,
having predeceased his father,Smith N.Whitworth.Paragraph Seventh (a)further provides
that upon the death of the son,John D.Whitworth without issue,his distribution,one-third
(1/3)share,.'should be divided into two (2)equal shares,one of which should be added to
~d becOIp.e a '!part of the trust e!3tates .created for the three (3)children of Margaretta W.
Hildreth,da~ghter,'and the other equal share should be added to'and become a part of the

liability for federal,state or local income taxes,all estate taxes,inheritance taxes,transfer taxes and other
taxes ofa similar nature,and any interest or penalties related thereto which may be assessed against us or our
estate;
B.Release National City Bank from proceeding with any further steps in the administration ofsaid
Trust including the filing ofa final Accd'unt,holding ofan Audit or petitioning for issuance ofa Decree;
C.Indemnify National City Bank and save it harmless from and against our pro rata share ofany and
all liabilities and expenses (including attorneys'fees and other costs oflitigation or taxes ofany type)which
may be assessed against National City Bank or the said Trust arising by reason ofNational City Bank's
administration of said Trust through the date below,or to which National City Bank or the said Trust may be
subjected after the date below by reason ofsuch administration;
D.Waive the issuance of any notice whatsoever that may be required to be given to·us.

B.Release National City Bank from proceeding with any further steps in the administration of said

C.Indemnify National City Bank and save it harmless from and against my pro rata share ofany
and all liabilities and expenses (including attorneys'fees and other costs oflitigation or taxes ofany type)
