And now,comes Petitioner,James C.Cowden,II by his attorney,
Glenn P.Schillo,and represents the following:
1.Your Petitioner is an adult residing at 120 Barr Street,
Borough of McDQDald,Washington County,Pennsylvania,and he is
sui juris.
2.Petitioner is the grandson of Decedent,Thomas J.Williams,
and he is the son of Executrix,Mary W.Cowden,who was appointed
in Decedent's Will.
3.Decedent died on March 9,1967;Letters were granted
October 7,1970 and first advertisement of said Letters occurred on
October 15,1970.
4.Since that tUne the estate has been totally inactive.
Numerous requests by attorney for the estate,Joseph C.Ralston,met
with no response from the Executrix.
5.It is Petitioner's belief that the only assets involved in
the estate are two lots of real estate situate in the Borough of
McDonald,Washington County,Pennsylvania,and possibly a small bank
account existing at the tUne of Decedent's death.

6&After thorough investigation it is Petitioner's belief
that major administrative and preferred debts have been paid by
the estate and all that remains is to evaluate the property,pay
the inheritance tax and audit the estate.
7.Executrix,Mary W.Cowden,has signed a renunciation,a
true and correct copy of which is attached hereto as Exhibit A.
8.Petitioner desires to be appointed as Administrator C.T.A.
to complete the sale of the real estate out of the estate as well
as final administration of the estate.

vania,devised said premises to his wife,Mary Williams.The
said Mary Williams remarried and by her Will probated in her
Oecedent's estate of Mary J.Parsons at No.1024 of 1968 in the
Orphans'Court of Washington County,devised the above described
premises to her son,Thomas J.Williams,Decedent herein.
The said son,Thomas J.Williams,died on Match 9,1967.Letters
Testamentary in the estate of the late Thomas J.Williams were

AGREEMENT TO INDEMNIFY,RECEIPT and RELEASE
This Agreement is made the :tJrJ.,..day of ~
1985,by and among JAMES C.COWDEN,II,Administrator,C.T.A.,of
the Estate of THOMAS J.WILLIAMS,deceased,(herein referred to
as Administrator},and MARY W.COWDEN and DONALD L.WILLIAMS,as
beneficiaries of the said estate (herein collectively referred
to as the beneficiaries).
The parties hereto,in consideration of the mutual
covenants herein expressed,and intending to be legally bound
hereby,agree that:
1.The estate of THOMAS J.WILLIAMS,who died March 9,
1967,is now in the process of administration,Letters Testamen-
tary having been duly granted to the preceding fidiciary by the
Register of Wills of Washington County on October 2,1970.
2.Under the provisions of clause third of the decedent's
Will,his real estate was devised to HELEN LAND WILLIAMS,as a
life estate and the remainder to MARY C.COWDEN and DONALD L.
WILLIAMS.
3.Under the provision,,of clause fourth of the decedent 's
Will,his residuary estate/was given to HELEN LAND WILLIAMS,his
wife.

4.The parties acknowledge that the administrator has
received the assets and made the payments set forth in the First
and Final Account of the Administrator,a copy of which is
attached hereto as Exhibit "A"and made a part hereof,and the
parties approve the said account in its entirety.
5.The parties hereto agree that the remaining balance
of the estate assets shall be distributed to HELEN LAND WILLIAMS.
It is understood by MARY W.COWDEN and DONALD L.WILLIAMS that
they are gi~ing up their interests as remaindermen in the real
estate of the deceased.It is acknowledged by all parties that
HELEN LAND WILLIAMS shall receive the sum of $11,083.67 minus
$10.75 for postage and which may be subject to additional
inheritance taxes and filing fees to the Register of Wills.
Without intending to limit the rights or remedies of the
administrator,the parties further agree to indemnify the
administrator and save the administrator harmless against all
liability,loss,and expense (including,but not limited to,
costs and counsel fees)which the administrator may incur,
whether due to the administrator's negligence or otherwise,as
a result of making the above-described distributions without a
court audit.
6.Should any proper liabilities of the estate whether
for taxes or otherwise,arise or come to the attention of the bene-
ficiaries agree to be jointly and severa1J¥liable therefore'.
7.HELEN LAND WILLIAMS hereto acknowledges to have
received from the administrator the sum as an advance distribution

evidenced by the Receipt for Advancement which is attached hereto
and marked as Exhibit "B".HELEN LAND WILLIAMS does hereby
acknowledge receipt of the additional sum subject to additional
inheritance tax opposite her name on schedule of Final Distri-
bution,marked as Exhibit "C".
8.The parties,and each of them,hereby forever fully
release,compromise,settle and discharge any and all claims,
demands,actions or causes of action,legal or equitable,absolute
or contingent,vested or hereafter to accrue,which any of them
may have against any other party hereto or against the estate of
THOMAS J.WILLIAMS,deceased,or the administrator thereof,by
reason of any matter,cause or thing growing out of or relating
to any property or assets of the said estate,or growing out
of or relating to any act of the administrator in his administra-
tion of said estate,even if attributable to negligence,and
agree that any period £0r the limitation of actions for the
collection of any erroneous distribution or distributions shall
commence only at such time as the administrator shall have ob-
tained actual knowledge of such erroneous distribution or
distributions and that in no event shall the period for collec-
tion of any erroneous distribution or distributions be less than
two years after the actual discovery thereof by the administrator.
The parties agree to execute such additional release as
the administrator submit to them in order to confirm their
discharge from any further liability to the parties in connection
with the said estate.

9.This agreement when executed,shall be ordered and
recorded in the estate proceedings and shall be binding upon all
the parties,and their respective heirs,next-of-kin,personal
representatives and assigns.
