matter that should be added to the estate is after the decedent's
death the share certifi:icates,which are partly being held in kind,
there was a split of three to two that isn't reflected.There were
amextra 29 shares.The market value at the time of death was mucp
greater than it is today.The market value at the time of death

a share today.That must be added to the assets of the estate.

WHEREAS,the parties hereto have signed a deed of even date herein
and,
WHEREAS,it is the intention of the parties that Adam H.Kiehl
is to pay unto Charles A.Kiehl and Albert W.Kiehl two-thirds (2/3)of the
value of the said property;
NOW THEREFORE,WITNESSETH;

The parties herein agree that pending the settlement of the
Estate of Elizabeth Kiehl,Sanford S.Finder,Esquire,shall hold the
executed deed in escrow until such time as Charles A.Kiehl and Albert W.
Kiehl have been paid their respective share of the value of said real estate
less their portion of inheritance tax thereon.

The value of said property shall be arrived at in the following
manner:In connection with the settlement of the said estate the Inheritance

Tax Office of the Commonwealth of Pennsylvania,attached to the Office of
the Register of Wills will make an appraisal for tax purposes and the parties
hereto agree that they will accept said value;however they further agree
that in as much as the assessment valuation is Eight Hundred Thirty-Five and
nO/IOO ($835.00)Dollars,that in no event shall the property be valued for
this transaction at less than Two Thousand Seven Hundred Eighty-Four and
nO/IOO ($2,784.00)Dollars.
