WITH AUTHORITY IN EACH OF SAID ATTORNEYS FROM EACH OF THEIR RESPECTIVE CLIENTS Each of said Attorneys having met with the Court on August 3r, 1970, and a general consultation had thereon with respect to problems of representation and future procedure involved therein, it is hereby agreed that the following procedure shall be and is hereby adopted for said Estate: l. -The Notice sent under date of July 21, 1970, by registered mail, return receipt requested, to the Clerk of the. Probate Court and to Oliver N. Hormelll Esq., terminating the attorney-client -1- ... • r' ' relationship between Anna Ruth Taft, Executrix, and Oliver N. Hormell, Esq., is hereby withdrawn, and Anna Ruth Taft requests and Oliver N. Hormell agrees to resume representation in said Estate. Oliver N. Hormell~further agrees to complete the filing of the Inventory, to prepare and complete the filing of the Account and send related notices thereon to the parties entitled thereto, to petition the Court for Audit, and to perform any and all other services necessary for distribution after the Account has been audited, all calculated to bring the Estate to a speedy and successful conclusion at the next term of Court. For the performance of said services, as well as services performed prior hereto, the said Oliver N. Hormell shall be entitled to those fees reasonably earned, 1n accordance with the minimum fee bill of Washington County, as well as any costs advanced, approved by the Court. 2. Oliver N. Honmell presently has in his possession certain assets of the Estate consisting of cash and a certificate of deposit. He agrees that upon Anna Ruth Taft obtaining a performarce bond in the amount of Twenty Five Thousand and 00/100 ($25,000.00) Dollars, for the benefit of the Commonwealth of Pennsylvania, and all heirs 1n the Estate, providing for the joint control of all assets in the Executrix and a corporate fiduciary for such distribution as authorized by the Court, he will turn over to Anna Ruth Taft, all assets in his possession. 3. In the event Anna Ruth Taft cannot obtain the bond as recited aforesaid, 0liver N. Hormell shall continue to hold in his possession the cash in the estate, and in addition thereto the -2- . ' Certiftcate of Deposit. Oliver N. Hormell, however, will have the name on the Certificate of Deposit changed to Anna Ruth Taft and upon the completion of the Audit of the Estate will send ·· . to same to Anna Ruth Taft with an appropriate assignment thereon to permit the conversion thereof into cash and the distribution of the proceeds thereof in accordance with the Court decree hereinafter to be obtained. 4. Anna Ruth Taft will continue to maintain in the Western Pennsylvania~National Bank, California tffice, the bank account for the Estate, and all checks for the distribution hereinafter to be ordered by the Court shall be drawn on said bank. Oliver N. Hormell agrees to make art.angements with the bank that Certificates of Deposit and certifications of balances will. be sent to Thomas 1. Wallace by said bank. 5. Thomas 1. Wallace having fun his possession the Inventory in the Estate executed by Anna Ruth Taft, will file said Inventory forthwith. 6. Oliver N. Hormell will prepare the Account, and all otheF papers necessary, and the Audit Petition forthwith and send the same to Thomas 1. Wallace for approval and execution by Anna Ruth Taft, with copies thereof to be sent to Paul A. Simmons, Esq., 7. All parties hereto will make every effort to see that all necessary papers are filed prior to October 28, 1970, so that the Account in this estate will be ready for Audit in the last quarter of this year. -3- ; . ,. .. . ' 8. The cost of the bond to be secured by Anna Ruth Taft as aforementioned, if secured, shall be a cost p~id by the Estate. 9. Reasonable fees for an appearance, and costs incurred by Thomas 1. Wallace in appearing in Washington County, Pennsylvania, on August 31, 1970, are to be an Estate expense. 10. Any of the furniture of the decedent, presently in the house previously owned by the decedent and now owned by the Commonwealth of Pennsylvania, as may be selected by Anna Ruth Taft, she may have, subject to payment to the estate of the appraised value thereof, at her~own expense for sending .the same to her in Mississippi. The balance of any furniture existing therein shall be sold or abandoned at the sole discretion of Oliver N. Hormell. 11. Oliver N. Hormell agrees to obta.in a death certificate for the decedent and to send the same to Thomas 1. Wallace on behalf of Anna Ruth Taft. 12. Olive~ N. Hprmell will furnish forthwith to Thomas 1. Wallace a current statement on the status of the property in Yuba!City, California. 13. Oliver N. Hormell will furnish to Thomas 1. Wallace, from his records in the possession of Oliver N. Hormell, the present tax status on the property 1n Yuba City, California. 14. Oliver N. Hormell shall forthwith furnish a copy for Thomas L. Wallace and Paul A. Simmons of a letter received from Anna Ruth Taft under date of November 14, 1969, prior to the. death of the decedent. And all assets are to be under joint controill of the Surety and Ann R. Taft with no distributions or money to be paid unless both agre to do so and the Court approves. -4- ' :J I c • .. 15. Oliver N. Hormell will make an effort to obtain a gravemarker for the decedent as close as possible to the gravemarker presently existing for the husband of the decedent, and the cost of said gravemarker shall be paid from the Estate. 16. A diamond ring being assets of the estate, Mildred P. Bennett ourt watch, or sale in accordance with agreement of Thomas 1. Wallace and Paul A. Simmons, subject to Court approval, if necessary. 17. The sum of Three Hundred Thirty-One and 46/100 ($331.46) Dollars, paid to Oliver N. Hormell for services and expenses prio to the death of the decedent are acknowledged to be an indebtedness of the Estate rather than an indebtedness of Anna Ruth Taft, and the Estate will issue a check in the amount of Three Hundred Thirty-One and 46/100 ($331.46) Dollars, to Anna Ruth Taft, to reimburse her for this expense. 18. A debt of Two Hundred Fourteen and 9/100 ($214.09) Dollars payable for converting a furnace of the decedent, is acknowledged to be a valid claim filed in the estate within the statutory limit of time, and shall be paid from the proceeds of the Estate, as well as any other valid claim filed in the Estate within the statutory limit of time as set forth by the statutes of the Commonwealth of Pennsylvania. -5- . ' 19. Anna Ruth Taft withdraws any claim for loans made to Mildred P. Bennett and William Higginson, Jr., prior to the death of the decedent, and Mildred P. Bennett and William Higginson, Jr., similarly withdraw any claims against Anna Ruth Taft for any loans made to Anna Ruth Taft prior to the death of the decedent. All parties acknowledge that no such claim will be made at the time of Audit or at any other time. This is why she retained him as attorney in the handling of her affairs. Mr. Hormell also handled the transaction for the sale of her property to the Commonwealth of Pennsylvania and took care of her needs when she was in the hospital in November, 1969. Mr. Hormell has more background and knowledge of the estate and of my mother's wishes than any one person and should be retained as the attorney for her estate. I talked to Mr. Hormell several months ago stating that my sister, Mrs. Taft, should be dismissed as executrix of the will because I felt that he, Mr. Hormell, was handling the estate very satisfactorily as far as to detail and accounting of the estate. I felt my sister was incompe- tent to take over and to handle these affairs. My mother's final will read that Mrs. Anna Ruth Taft, daughter, William H. Higginson, Jr., son, and Mildred Polly Bennett, daughter, would share and share alike in the property. I feel Mr. Hormell has done a fine job in the handling and accounting of this estate, and I feel the asset funds should not leave the State of Pennsylvania and its jurisdiction. If the funds are transferred to the State of Mississippi, which seems to be my sister's intent, the estate would be handled in Biloxi, Mississippi, by a party unknown to my mother and by one who would not have the complete knowledge and history of her estate and of her desires and final wishes. / ... The estate involves property in both California and Pennsylvania and has been handled efficiently throughout by Mr. Hormell. My brother concurs with me in this decision. We both feel that the estate should be retained in the State of Pennsylvania and not complicated by invol- ving another and new attorney in a third state. We feel that Mr. Hormell is in the final stages and approaching a successful settlement of my mother's will. My sister has not complied with or carried out any of my mother's final wishes. Mr. Hormell had to obtain a court decision as to the final resting place of my mother's body as Mrs. Taft was proceeding in oppo- sition to my mother's expressed desires. This is only one of many instances when she acted in opposition to any action taken by Mr. Hormell, whereas my brother and I feel that he is the proper person to handle the property as my mother expressed her confidence in him by granting him complete power of attorney. My brother and I feel that Mr. Hormell should be retained as attorney for the estate until it is properly settled and divided according to my mother's wishes and should not leave the jurisdiction of the State of Pennsylvania. There s a sizeable list of additional debits which we have added to the Audit Petition;;in order to meet the deadline for filing the accounting and in order to comply with the agreement that we had, we added all of these in the Audit Petition, rather than on the accounting itself. Those total additional credits amount to $4550.29. Your Honor wil recall in that matter we had some assets which I had invested in certificates of deposit. There was some question about how this was to be handled, but th~ Court finally, working with us, made disposition of it. Now this certificate of deposit ·was a three-mon h certificate. And itssdue date was December 10, 1970. I sent it dow1 to the Executrix, that is to Attorney Wallace until December 1st, a which time he sent it through a Mississippi bank to a California bant~.. for depositing in the checking account. _But when I looked at it I ·." . . found that the Executrix had not signed the certificate as we had. instructed her to do. And the Mississippi bank didn't notice this. And it wasn't noticed by Western Pennsylvania until the day after it was due. So I immediately picked up the certificate, forwarded it by special airmail delivery to Attorney ·wallace, then called him, 2 .· told him what our problem was, told him I was returning the certif't:ate to them for her signature and advising him to hold up any checks wr ich we had made and had pre-dated to December 11 until we got that ba k. We have checked with Western Pennsylvania to see if it was return~d 3 ---------~--~r----------------------------------------------------------------------~------ I . directly to the bank. We called Mr. Wallace on December 15, but he was out of his office at the time, did not return our call. We tried againtto reach him December 16, but were unable to do so. It is my suggestion that the Court will direct this account to be closed subject to my receipt fromAttorney Wallace and the Executrix of the certificate so that it can be deposited and then the checks either z ~ issued or having been issued, honored.
