Section 2. Appointment of Attorney-in-fact. The President or a Vice President may, from time to time, appoint by written
certificates attorneys-in-fact to act in behalf of the Company in the execution of policies of insurance, bonds, undertakings and
Qther obligatory instruments of like nature. Such attorneys-in-fact, subject to the limitations set forth in their respective certificates
of authority shall have full power to bind the Company by their signature and execution of any such instruments and to attach the
seal of the Company thereto. The President or any Vice President or the Board of Directors may at any time revoke all power and
authority previously given to any attorney-in-fact."
This Power of Attorney is signed and sealed by facsimile under and by the authority of the following Resolution adopted by the
Board of Directors of the Company at a meeting duly called and held on the 11th day of November, 1966:
"Resolved, that the signature of the President or a Vice President and the seal of the Company may be affixed by facsimile on
any power of attorney granted pursuant to Section 2 of Article VI of the By-Laws, and the signature of the Secretary or an Assistant
Secretary and the seal of the Company may be affixed by facsimile to any certificate of any such power and any such power or cer-
tificate bearing such facsimile signature and seal shall be valid and binding on the Company. Any such power so executed and
sealed and certified by certificate so executed and sealed shall, with respect to any bond or undertaking to which it is attached,
continue to be valid and binding on the Company."

AH known debts have been paid except the Inheritance Tax due the
Commonwealth of Pennsylvania. And an appraisal of the gross tax:: ble
estate has bee~ received. The amount is admitted. And the only
other obligation that we know of woL,ld be suc:h additional Court cos s
that may accrue. The only question requiring an adjui:ii~t~·oo. or at
least:consideration of the Court involves a title to the real estate

in Warren Counfy. I would like to make a very short statement reg:: rding
that, if Your Honor please. '.

A number ofyears ago the decedent, together with twp
other pereons, purchased a lot on the Allegheny hiver'in Warren
County. The decedent thereafter bought out the in~eres t of the othe
tenants in c_ommon, but never obtai ned a deed. He had a little
informal receipts. The decedent thereaft~r.had his four sons, wlo.
are the sole heirs, his sole he(rs at law, go on to the property with
the ·
him and into possession of!Premise~, and the sons,· who are expert
in the building-trade, erected certain improvements, a hunting
lodge on the p:!t:~lli51s~s. And in con side ration of their work and the
constructi~n which they effected, the decedent agreed to give them
each an undivided one fourth interest in the property. But again,
the deced~nt negl~ctEd to have a deed made. So that when he died
he died seize_d of an equitable interest in two thirds of the premises

The sons, rather· than go through the action for specific performance
and all of the attendant problems and expense involved, contacted

the other owners and secured a deed from the one living owner for
the on~ third interest, and a deed from the heirs of the other decea ~ed .

the 'title stands, the legal title is in the fqur sons to two thirds
and the leg~l title to the remaining third is in the decedent. hathe
than, as I say, go through the matterof specific performance~ sine~
the fiduciary would be one of the parties -claimant, it was our
thought that the purpose of the law and that the title \eould be clear ~d .
through the simple devise of an election. So the sons, the sole
heirs of the decedent. have elected to take all the right, title and
interest of the decedent in kind. The entire· matter has been
·explained. The only problem involves, of course,. Inheritance Tax·.
And that matter has been explained ful~y in the return for Inheritance
Tax filed with the Department of hevenue. ':fhe "r;>.epartment, with

The undersigned Donald Zofchak, Peter W. Zofchak, George
M. Zofchak and Dennis M. Zofchak, being all of the heirs of said
Decedent, do hereby elect to take in kind as tenants in common,
all the right, title and interest of the Decedent in and to the
premises hereinafter described.

ALL that certain piece of land situated in
Deerfield Township, County of Warren, State of
Pennsylvania, bounded and described as follows:
Beginning at an iron stake on the banks of the
Allegheny River marking the south west corner of lot
No. 10 and running in a northerly direction 100 feet
to an iron stake marking the north west corner of
Lot No. 10; thence in a westerly direction 50 feet
to an iron stake; thence 100 feet in a southerly
direction to an iron stake on the bank of the Allegheny
River; thence in an easterly direction 50 feet along
the bank of the river to the place of beginning:
constituting a rectangular lot 50 by 100 feet and
being known as Lot No. 9 west. Having erected thereon
a hunting lodge.

That Sc.hedule A attached hereto and made part hereof sets forth fully and in detail all the
real property in the Commonwealth of Pennsylvania of which decedent died having an interest therein. It
also sets forth the mortgage encumbrances upon each parcel of real property at the date of death, giving
the amount still due at death, name of mortgagee, date, rate of interest, and book and page of record
thereof. It also sets forth in the columns provided therefore the assessed valuation of each of said
parcels, the estimated market value thereof as of date of death of decedent.
That Schedule B attached hereto and made part hereof sets forth fully and in detail all personal
property wheresover situated owned by the decedent at the time of death; all moneys left by the decedent
at the time of death, whether in decedent's immediate possession, standing to decedent~ s.~<:_redi·~ in banks
of deposit, savings banks, trust companies, or other institutions, whether individually,-,of in trust for
any other person or persons giving also separately the accrued interest thereon, if any~··~ down to the last

are designated as tax free, of the United States, or any state, or political subdivision thereof, or of
any foreign country, which are owned at the time of death; all wearing apparel, jewelry, silverware, pic-
tures, books, works of art, household furniture, horses, carriages, automobiles, boatsi'•ltl1~ any and all
other personal chattels of whatsoever kind or nature, left by decedent, together with the fairly estimated
market value thereof; all bonds and mortgae;es held by decedent and of all claims due and owing decedent
a.t the time of death, and all promissory notes or other instruments .in writing for the payment of money
of which decedent died possessed, of whatsoever nature, with interest thereon, if any, giving the face
value and estimated fair market value thereof, and if such estimated fair market value be less than the
face value, it sets forth briefly the reasons for such depreciation as to each i tern; all moneys payable
to the estate from life insurance polici'es carried by decedent; all annuity and endowment contracts the
proceeds of which were payable upon the death of the decedent; and all the corporate stocks and dividends
due thereon and unpaid as of the date of death, bonds and accrued interest thereon to the date of dece-
dent's death and other investment securities owned by the decedent at the time of death, with the market
value' thereof at such time.
In the case of securities of close or family corporations, the values reported are as far as
possible substantiated by financial statements of the corporations, showing the assets and liabilities
t.h~reof as of the date of death. The sc!ledule also sets forth the interest of rlecedent at the time of
death in any co-partnership or business, and in support of the value of such interest there is annexed to
said schedule, financial statements showing the assets and liabilities of said co-partnership or business.
A copy of the co-partnership· agreement, (if oral, a statement setting forth the nature of the-agreement)
together with a statement setting forth the character of the business, its location, and such other facts
pertaining to the business as may be pertinen~ to a fair and just appraisal of the decedent's interest
therein must be submitted. It should also set forth in itemized form,. together wit.h the f~lr market value
thereof, any other property owned or bequeathed by the decedent at the time of death. ·
The Schedule C attached hereto and made part hereof sets forth a true answer to each-inquiry
contained therein and in the case of transfers ofproperty, real or personal, within two years of decedent's
death, in contemplation of decedent's death, or intended to take effect in possession or enjoyment at or
after death, said schedule sets forth the nature and value of such property, to whom transferred, the
relationship of the transferees to the decedent, the proportionate share received by each transferee and
all· other facts of a pertinent nature regarding said transfers. In the ca:se of .trans_fers intended to
take effect in possession or enjoyment at or after death, there is also attached to the schedule a copy
of the deed, trust agreement or other instrument creating the trust. There is also set forth in said
schedule a list of all property, real and personal, with its value, which pa~ses at decedent's death by
virtue of the exercise by decedent, either individually, or jointly with another, or any power of appoint-
ment vested in decedent, either individually or jointly, by the will, deed, or other instrument of another,
with a copy of the instrument creating such power attached to the schedule.
That Schedule D attached hereto and made part hereof sets forth the names and addresses of all
persons beneficially interested in this estate at the time of decedent's death, the nature of their res-
pective interests, their relationship, if any, to the decedent, together with the ages at the time of
decedent's death of all minors, annuitants and beneficiaries for life under decedent's Will. It also
contains a statement showing which of the beneficiaries named in the decedent's will, if any, died prior
to 'de-cedent, the dates of their death, their issue, and the relationship of such issue to the beneficiary.
That Schedule E attached hereto and made a part hereof sets forth all property, real and per-
sonal, owned by the decedent jointly with another .or others, including intangible, standing in the name
of the decedent and others, plus the date and place of record of instruments effecting the vestiture of
real estate and the date of acquisition of personalty, plus the name, address and relationship, if any,
of co-owners-to the decedent.
That Schedule F attached hereto and made a part hereof sets forth fully and in detail all debts
and deductions claireed for and on .. behalf of. this decedent's estate, inclurling f\meral expenses paid;
family exemption, where applicable; costs of administration of this estate; counsel fees and fudiciary's
commissio~s -pald or to be paid; cost expended for burial trusts, tombstones· or gravemarkers, and reli-
gious services, in consequence of the death of the decedent; debts and claims owing anrl·lmpaid at time of
death; taxes accrued chargeable for period prior to decedent's death (except those allowed under Section
651 of the Inheritance and Estate Tax Act); together with a statement of collateral pledged for obliga-
tions, if any. It is agreed that the fiduciary will present proof of said claimed obligations upon re-

said lots of ground being descriDed and bound-
ed in the deed hereinafter recited. Having
erected thereon a dwelliq6house, known as 232
Hallam St., Meadowlands, Pa.
Being the same premises conveyed to Mathew
Zofchak, Jr. and Susie Zofchak, his wife, by
.Andrew Cushman, widower, by deed dated
November 9, 1925, of record in Deed Book 535
page 202 in the Recorder's Office of. said
County. The said Susie Zofchak died March 5,
1969. At decedent's death the above premises and
premises of th:i--td persons were subject to the
liens of a mortgage and a judgment. The
mortgage was from Peter W. Zofchak et ux.et al•
to Western Pennsylvania National Bank,
McKeesport dated September 14, 1964 recorded
in Mortgage Book 651 page 414 in the principal
amount of $12,000.00. The judgment was that
of G.D.C. Finance ~ons. Disc. Co. filed ~
October 18, 1966 at No. 417 SE"PT· Term 1966 ,DSD,
in the principal amount of $2,664.00. The
mortgage was released upon the payment of
$7.50 for recording the Release; and the
judgment was released upon the payment of
~16.00. . The aforsaid premises were sold during the
course of administration to Gary Mull, et ux.
for $9,000.00
2. All~that certa~h piece of land situated in
Deerfield Township, County of Warren, State 1,305.00
of Pennsylvania, bounded and described as
follows: Beginning at an iron stake on the
banks of the Allegheny River marking the
south west corner of lot No. 10 and running
in a northerly direction 100 feet to an iron
stake marking the north west corner of Lot No
10; thence in a westerly direction 50 feet to
an iron stake; thence 100 feet in a southerly
direction to an iron stake on the bank of the
Allegheny River; thence in an easterly
direction 50 feet along the bank of the river
to the place of beginning: constituting a
rectangular lot 50 by 100 feet and being know
