KNOV\T ALL MEN BY THESE PRESENTS: Whereas, at Washington, in the County aforesaid
on the 17th. day of January A. D. 1969 , before me,
Russell Marino ; Register for the Probate of Wills and Granting
Letters of Administration in and for the County of Washington,-in the Commonwealth of Pennsylvania,
the last Will and Testament of
Jeannette McCarrell
late of Mt. :Pleasant Township in the County aforesaid, deceased,
(a true copy whereof is to these presents annexed), was duly admitted to probate; and
J. Leman McCarrell
the Executor in said Will and Testament named, having appeared before me and taken and subscribed
the oath of office prescribed by law;
NOW, THEREFORE, I, Russell Marino , Register as aforesaid, do
grant these LETTERS TESTAMENTARY, unto the said
J. Leman McCarrell
committing unto Him the administration of all and singular the goods and
chattels, rights and credits, which were of said deceased, and requiring Him
to exhibit a true and perfect inventory thereof into the Register's Office, at W c..shington, within ninety
days from the date hereof, and to render a just and true account of said administration at the expiration
of six months from the date hereof, and to regard and comply with the provisions of the laws of this
Commonwealth .relating to inheritance ·taxes.

I, Jeanette McCarrell, a resident of Mt. Pleasant Township, Washington
County, Pennsylvania, being of sound mind, memory and understanding, do make,
publish and declare this my Last Will and Testament, hereby revoking any and all
Wills by me heretofore made.
ITEM I. I direct that all my just debts and funeral expenses be paid as
soon after my decease as may be found convenient.
ITEM II. I hereby give, devise and bequeath all of the property of which
I may die seized to my husband, J. Leman McCarrell.
ITEM III. In the event my said husband should predecease me, I hereby
give, devise and bequeath all of the rest, . residue and re ro.ainder of my estate of
which I may die seized, whether the same be real, personal or mixed to Pittsburgh
National Bank in trust for the following uses and purposes:
(l) To pay the net income, after paying all expenses incid::mt to the
management of the trust to my son, Robert Leman McCarrell, until he reaches the
age of 25 years at which time I direct my trustee to pay him one~fourth (1 /4) of the
corpus of said funds; to continue to pay the inc orne of the remaining portion to my
son until he becomes 30 years of age, at which time my trustee shall pay one-third
(1 /3) of the remaining portion of the corpus of said sum t'J my son: to pay my said son
the income from the balance of the said trust until he becomes 40 years of age at
which time it shall pay to him the remaining corpus of said fund; provided, however,
that in the event he should have arrived at any of the ages hereinbefore set forth at
the time he would be entitled to distribution hereunder, such portion or all of the
same shall be paid to him directly by my executor without the intervention of a
trustee.
ITEM IV. I direct that my executor and trustee, in addition to and not in
limitation of any authority given by law, shall have the following powers:

(1) For the payment of debts or for any purpose of administration
or distribution, power to sell, mortgage, lease, alter, improve, partition and ex-
change all or any of my real estate, at any time during thecontinuance in whole or
in part of the trusts under this my Will and at the termination thereof for purposes
of distribution, selling at public or private sale, for such prices and upon such terms
as to cash and credit as they or the survivor of them may deem best, or upon the
reservation of ground rents, and the said ground rents in turn to extinguish or assign,
and to grant and convey good and sufficient title, without liability on the part of the
purchaser or other persons so dealing with the executor or trustee, to see to the
application of the purchase or consideration moneys.
(2) To purchase or otherwise acquire real estate and to exercise the
s arne powers thereover as hereinbefore provided with respect to the other real estate
of the estate.
(3) To retain all stocks, bonds, and investments owned by me, and
to invest and reinvest the trust estate herein created or any part thereof in any kind
of property, real or personal, including, without limitation, mortgages or mortgage
participations, common trust funds, common stocks, preferred stocks, bonds, notes
and other securities, regardless of whether th.e same are legal investments for trust
funds as now or hereafter defined by law, whether by statutory enactment, judicial
decision or otherwise.
(4) To borrow money and pledge any stocks, bonds or other personal
property of the estate as security therefor, without liability on the part of the lender
to see to the application of said money.
(5) To purchase securities at a premium, to amortize tte premium
out of income, or to charge the same to principal or income, or partly to principal
and partly to income. at such times and in such amounts as it shall deem best.
(6) To exercise any option to subscribe for stocks, bonds or other
investments.

(7) To join in any plan of lease, mortgage, consolidation, exchange,
reorganization or foreclosure of any corporation in which the estate may hold stocks,
bonds or other securities.
(8) To retain indefinitely any part of the trust estate, real or per-
sonal, which is or may become unproductive, or in the discretion of the trustees
or the survivor of them to make sale thereof. The trustees, or the survivor of
them, in its discretion may pay the carrying charges and expenses of property,
during any year in which it is unproductive, out of other principal of the trust estate,
or out of the income of other principal, or partly out of such principal or income,
and it may from time to time reimburse such principal or income for the whole or
part of said charges and expenses. The trustees or the survivor of them may
apportion the proceeds of sale of unproductive property between principal and
income according to law, or in its discretion it may pay said proceeds into prin-
cipal without apportionment.
(9) To co-mingle the assets of the trust herein granted with the .
assets coming into its possession from any other source for the benefit of
the beneficiaries hereof under like or similar provisions.
(1 0) To either distribute capital gains or add such to the principal
of this trust at the discretion of the trustees; and_ either deduct capital losses from
income or charge them against the principal at the discretion of the trustees.
(11) In the event any stocks, of which I may die seized should be
given rights to subscribe for additional shares or should declare stock dividends,
I hereby au.thorize my trustee to apply the same either to corpus or to income as
in its discretion they shall deem best.
ITEM V. In the event my said son should die before he shall be entitled
to distribution under the terms hereof leaving issue, I direct that his interest
therein shall be distributed to his issue; and if no issue his interest shall be distrib-
uted to John McDowell III.

ITEM VI. I direct that all legacies and all shares and interest in my estate
whether principal or income, while in the hands of my executors or trustees, shall
not be subjed to attachment, execution or sequestration, for any debt, contract,
obligation or liability of any legatee or beneficiary, and shap not be subject to pledge,
assignment, conveyance, or anticipation, and the personal receipt of such legatee,
or beneficiary, shall be the sufficient and only discharge of _my executors or trustees.
ITEM VII. I hereby authorize my executors, hereinaf:er named, at their
discretion to file a joint income tax return with my husband, J. Leman McCarrell.
ITEM VIII. I hereby authorize and empower my executors hereinafteJ/named
to enter into any compromise which he deems to be proper on account of any estate,
income or other tax claims.
ITEM IX~ I hereby nominate and appoint my husband, J. Leman McCarrell,
as Executor of this my Last Will and Testament. In the event he is unable or
unwilling to serve, I hereby nominate and appoint my son, Robert Leman McCarrell,
as Executor of this my Last Will and Testament. I hereby direct that my Executors
shall not be required to give bond or other security in any jurisdiction.

AND NOW, this ~ t/.. day of ~-nakl , A. D., 1969, comes
J. Leman McCarrell, who deposes and says:
1. That under Item II of the Will of Jeannette McCarrell, she did give,
devise and bequeath all of the property of which she died seized to me.
2. That under Item III of said Will in the event I should predecease her,
she gave, devised and bequeathed all the rest, residue and remainder of her
estate unto Pittsburgh National Bank as Trustee for the purposes therein
set forth.
3. That since I have survived her I have been advised that in the event
I disclaim my right to inherit under Item II of said Will that she will have
died intestate as to any property which she may own.
4. That the only child which she has living is a son, Robert Leman
McCarrell, and that she is not survived by the issue of any deceased children
5. I have been advised that in the event I disclaim my right to inherit
under the terms of said Will that her entire estate will pass to our son,
Robert Leman McCarrell, under the Intestate Laws of the Commonwealth of
Pennsylvania.
6. Wherefore, I do hereby disclaim any right to inherit under the terms
of her Will and request that distribution be made in accordance with the
Intestate Laws of Pennsylvania, that is, to our son, Robert LemanMcCarrell
