Dear Judge Marino:
At the audit of the above estate we asked that distribution
be delayed pending·the outcome of negotiation~ for the sale of
one of the parcels of real estate constituting the balance for
distribution.
Please be advised that by deed dated June 12, 1970, the
Executors conveyed the.real estate identified as ~arcel No. 11,
being a lot of ground in·Canton Township, Washington County,
Pennsylvania, ·composed of Lots Nos. 38 and··39 ·in the"1--lalter W.
Davis Plan to Ralph E. Anderson, Jr. and Bonnie J. Anderson,
his wife, for the sum of $4,000.00 o~ a gain of $2750.00 in this
item.
As against this gain the Executors ask-credit for $80.00
for state and local documentary stamp tax and $2.00 notary fees,
the notary fees having been paid to Barbara Craig, Notary Public.

I. That your petition~r was duly appointed one of two executors
of the Estate of Sarah Abraham Moses on January 3, 1969, by the Register of
W i I Is of Washington County, Pennsy I vani a.
2. That for many years the decedent owned and operated a general
store in premises at 28 West Wylie Avenue, Washington, Pennsylvania, known
as the Phi I I ip Moses Store.
3. That said store business is set forth and represented iri the
Inventory of the Estate of the decedent in two items, to wit, inventory of
stock in trade $4,797.08 and business fixtures, equipment and goodwi I I $3,~00.0
or a total of $8,297.08. The inventory of the stock in trade is in accordance
with the books and accounts kept by the said Sarah Abraham Moses in her
I ifetime in connection with said store business and the value of the business,
fixtures, .. equipment and goodwi II was the result of an appraisal made by J. C.
McCleery, a professional appraiser, made at the request of the executors of
the estate. Both figures relate to December 23, 1968, the date of the
decedent's death. A copy of said appra i sa I is attached hereto and made a part
hereof.
4. For many years prior to the death of the decedent petitioner
and his brother, Abraham Moses, were the principal employees of the decedent
in the operation of said store business employed on a monthly salary basis
and acting in alI capacities under the general supervision of the decedent.
The salary for the petitioner and his br.other for the calandar year 1968
agreed upon and paId by decedent was $600.00 to each per month to ~~;;fine r.:.t
said employees.

5. That since the death of the decedent the executors have made
numerous attempts to sel I said business within the family of said decedent
and pending <!:ons:ummafkrn of such a sa I e have continued to operate the business
on the same basis on which it was operated immediately prior to the death
of decedent. The most recent attempt at sale was a request for sealed bids
dated October 8, 1969, requesting bids as of December 23, 1968, the date of
death to equal or exceed the inventory value and to include payment for
estimated accrued proJits of $3-,801.85. The deadline of 4:00 o'clock P.M.,
October 23, 1969, was set and the highest bid received was a bid of $12,000.00
from Ruth Moses Latko.·. Mrs. Latko was notified of her position as high bidder
and came to Washington on Friday, November 7, 1969, but has refused or
neglected to assume possession of the business although protesting her
wi1 lingness so to do and your petitioner believes and therefore avers that
the said Ruth Moses Latko has in fact abandoned the purchase so made.
6. That your petitioner and his brother, Abraham Moses, desire
to purchase said business from the Estate of Sarah Abraham Moses, deceased,
as of the date of this petition offering therefor the sum of $8,297.08,
being the estate inventory value of the stock in trade and business and
representing that the business inventory is In fact less now than the
inventory of the stock in trade reflected in the estate inventory and that
no fixtures or equipment~readded since the estate inventory was made.
The offer by your petitioner and his brother is attached hereto and made
a part hereof.
7. That your petitioner believes _it is to be the best interest
of a II concerned that the sa I e of said business be quick I y cons~:,~mmate'd an'd
that the sale herein suggested is to the best interest of the estate.
WHEREFORE, your Petitioner asks leave to participate in the
pur'chase above suggested from the estate of the said Sarah Abraham Moses
and that Alice Krol, the remaining executor, be authorized to proceed with
the sale herein prayed for after such notice and upon such terms and condition•
as the Court may direct.

ASSIGNMENT OF DISTRIBUTIVE INTEREST
TO THE EXECUTORS OF SAID ESTATE:
WHEREAS, in ~roceedings filed at the above number and
term a sale of the store business,·fixtures, equipment and good
will. in said estate was held in open Court on Janua~y 30, 1970,
and
WHEREAS, the highest and best bid then made was the
bid of Abraham Moses made for ,himself and Phillip Moses in
the amount of Fourteen Thousand Fifty, and no/100 ($14,050.00)
Dollars, and
WHEREAS, by the terms of sale forty per cent (40%)
of said bid was paid in cash to the Estate and the remainder
of said purchase price could be paid by Assignment of a portion
of the distributive interest of the successful bidder to the
Estate and,
WHEREAS, at the sale held as above set forth, the
Court sold the subject matter of the sale to Abraham Moses ·arid
Phillip Moses for the sum of Fourteen Thousand Fifty and no/100
($14,050.00) Dollars upon condition that theyr·comply on that
day to-wit, January 30, 1~70, with the conditions of sale relatinf
to the payment of cash and assignment.
NOW THEREFORE, we~ th~ undersigned, the residuary
legatees and devisees of th~ Estate of Sarah Abraham Moses,

do hereby sell, assign, transfer and set over unto said Estate
a total of Eight Thousand Four Hundred Thirty and no/100
($8,430.00) Dollars of our distributive share ($4,215.00 each)

of said estate as payment of a portion of the purchase price
for the store business, inventory, fixtures and good will
purchased. by us in open Court and we do authorize and direct
the Executors of said estate to make such adjustment in . : .~-

already legally mine? I was accused of abandoning my bid and I
certainly did not. When I was in .Buffalo at the last time, I asked
for the keys on a Saturday evening, called Mr. McCreight at that
time and was told that they would not be given to me until Mrs.
Krol was into the store. I called on a Sunday afternoon and said
that I would be willing to take over possession of the store and
Mrs. Krol stated that no business would be done on a Sunday. On a
Monday I went into the store again and at no time did I say that I
would not rescind my bid in favor of my brother, Abe. In fact,
I made a proposal to him that was turned down. I offered him to
go with either Mr. McCreight or his attorney, Mr. Solomon, the
store, 1 would pay for it out of my distributional share. He would
pay nothing but run the'. store. That was refused because he clairr. ed
at that time he wanted to be sole owner.
Now I'm telling the exact truth. He wanted to
be sole owner, no partnership. No nothing. So I said fine, I would
rescind the bid. You may buy the store at the appraisal price.

take care of the business, allow me to purchase the store at the
appraisal value at that time. Provision was to be made for that.
Mrs. Krol assured me that the paper would be sent to me.
I would have signed it. There would have been no problem. I waitec
several weeks, then I received word that I had abandoned the bid.
I notified Mr. McCreight by mail that I did not abandon the bid.
I also assured him that it could come out of my distributional sharE ,
if fcash were needed, I was prepared, as I am now. I wanted at no ime
to not even sell the store. I would like to have remained a part of
the business. My mother left it to five of u.s. I didn't want at any
time to revert to anyone other than my brother Abe or myself for
personal reasons .
