Calabro,Sr. late of Borough of Canonsburg in the County aforesaid, deceased, (a true copy whereof is to these presents annexed), was duly admitted to probate; and Pittsburgh National Bank and Robert P. CALABRO, of Washington County, Pennsylvania, being of sound mind and memory do make, publish and declare this my Last Will and Testament, hereby revoking and declaring null and void any and all Wills and Codicils by me at any time heretofore made. FIRST: I direct my Executor to pay my .debts, the expenses of my last illness and my funeral expenses. SECOND: I give and bequeath all my jewelry, automobiles, clothing and other purely personal effects, as well as all household goods and equipment which I may own, to my -.:·life, HARGARET R. CALABRO, if she survives me. In the event my wife fails to survive me, I give and bequeath the aforesaid items to my then living children, to be dis- . tributed among them as they shall mutually agree, or in the absence of such agreement, as my Executor, in its sole discretion, shall deem advis- .able, making such distribution in as nearly equal shares as possible. THIRD: If my wife, MARGARET R. CALABRO, su~vives me, I give, devise and bequeath to PITTSBURGH NATIONAL Bk~, Pittsburgh, Pennsylvania, as Trustee, under that certain Revocable Life Insurance Trust Agreement dated I r\'\L.\.\ \ _)..-(\ : t q by' and actually executed by me prior to the execution of ..• A this Last Hill and Testament and as the same may be amended from time to time, so much of my estate as will afford my estate the maximum allowable marital • • deduction under Federal Estate Ta.'C Laws \vhen this share of my estate, so given, is considered with any and all other property of mine passing or which has passed to my wife under the provisions of this Will or otherwise, and which other property is included in the marital deduction allowed my estate. There shall be excluded from this devise and bequest any assets which do not qualify for the marital deduction. The property thus bequeathed shall be held as the ~~rital Trust under the terms of said Agreement. In the event my wife and I should die either simultane- ously or under circumstances which do not afford sufficient evidence as to who was the survivor, it is my intention that it be presumed that my wife survived me. FOURTH: All the rest, residue and remainder of my estate re- maining after the pay~ent of taxes as hereinafter provided, I give, devise and bequeath to my said Trustee to be held as the Residuary Trust under the Revocable Life Insurance Trust Agreement referred to above. FIFTH: If for any reason the said Trust Agreement is ineffec- tive as a trust at the time the assets of my estate are to be added to it, then the pro~erty herein given, devised and bequeathed to PITTSBURGH NATIONAL BANK, as Trustee under such Trust Agreement shall be held by it in trust in accordance with the provisions of the said Agreement in its form immediately prior to the execution of this Last \Vill and Testament. To invest and reinvest the principal of my estate in stocks, bonds, mortgages, securities or other property, real or personal, without being limited to the classes of securities or investments in which fiduciaries are by law authorized to invest funds. c. To sell, exchange·, lease, encumber, option or otherwise dispose of all or any portion of my estate, real or personal, in such manner and upon such terms and conditions as shall be 9eemed advisable, and to make, execute and deliver deeds, mortgages, leases, assignments and other documents necessary to effectuate any powers herein granted and which shall specifically include the authority to grant leases extending beyond the per- iod authorized by law. D. To make distribution of my estate in kind, in cash, or partly in kind and partly in cash and to this.end, allocation of assets in kind shall be in the sole discretion of my Executor. Assets distributed in kind in satisfaction of any pecuniary distribution under the terms of this ~-Till shall be distributed at their values. on the date or dates of distribution. CALABRO NO. 63-68-1577 DECEASED PETITION FOR DISTRIBUTION To the Honorable, the present Judge of said Court: Your Petitioner is Trustee under an Irrevocable Insurance Trust Agreement of Dominick C. Calabro dated May 29, 1968. Dominick C. Calabro died on November 13, 1968 and in accor- dance with the terms of the Agreement of Trust, your Petitioner collected proceeds of certain life insurance policies deposited thereunder. By Decree of your Honorable Court entered on June 7, 1972 at the above number and term, there was awarded additional assets in accordance with the Last Will and Testament of Dominick c. Calabro. There is attached hereto for reference of the Court and mar~ed Exhibit "A", a copy of the Agreement of Trust. That agreement provides inter alia, that upon the death of the settlor, the Trustee should collect proceeds of insurance on the life of the settlor and to which the Trustee was entitled as beneficiary and would invest the same and should pay the income arising for the use and benefit of the insured's wife, Margaret R. Calabro, together with so much of the principal as the Trustee in its sole discretion deemed advisable for her health, maintenance and support. In addition, the Trustee was authorized to use the principal of the trust for the health, maintenance, support and complete education of the settlor's children. It was further provided that in exercising its discre- tion, the Trustee should take into consideration, although it was not required to do so, the existence of other assets and benefits available to the insured's wife. Upon the death of the insured's wife, the Trustee was to divide the remaining principal into as many shares as there may be children of the insured and his wife surviving. When each child reached the age of 25 years, he or she was given the right to withdraw any or all of the principal repre- senting his or her share of this trust. The insured was survived by his wife, Margaret R. Calabro, who is living, is of full age, is sui juris and is not in the Military Service of the United States; and three children, Dominick c. Calabro, born February 22, 1936, Robert P. Calabro, born May 25, 1927, and Margaret Jean Calabro, born August 7, 1941, all of whom are living, are of full age, are sui juris and none of whom are in the Military Service of the United States and have reached 25 years of age. All transactions including receipts and disbursements and reinvestments since the filing of the First and Final Account are shown in a Supplement which is attached hereto and made a part hereof. -2- This account is filed at the request of Margaret R. Calabro, Dominick C. Calabro, Robert P. Calabro and Margaret Jean Calabro, all of the parties in interest, on the assertion that the trust has not accomplished the purpose for which it was intended and should be terminated under those provisions of the Pennsylvania Probate, Estates and·Fiduciaries Code applicable to the termination of trusts. Calabro, respectfully represents that: 1. D. C. Calabro died on November 13, 1968, leaving a last will admitted to probate by the Register of Wills of Washington County. Under the provisions of Item Fourth of that will a bequest was made to a previously established trust. Your Petitioner is the decedent's widow. 2. Pursuant to the will and the terms of the trust instrument, the sum of Twenty-Five Thousand Five Hundred Ninety-Nine and 10/100 ($25,599.10) Dollars was placed in a residuary trust fund which is the subject of this Petition. 3. A copy of the will is attached hereto as Exhibit A. A copy of the applicable provisions of the trust instrument is attached hereto as Exhibit B. The applications provisions of the trust, Article I, Section B (Residuary Trust), provide that income is to be paid to Margaret R. Calabro for and during her natural life and following her death the corpus is to be distributed to her children in equal portions. 4. Data regarding the performance of the trustee with respect to the production of income and growth of principal is attached hereto as Exhibit c. 5. Your Petitioner has an estate of approximately Three Hundred Ninety Thousand and no/100 ($390,000.00) Dollars which she manages. The return on principal is currently approximately 6.7%. The return earned by the trust has been approximately 5.14%. 6. The purpose of the trust agreement and the will was to provide your Petitioner with the services of a bank to manage her estate and to conserve principal for the benefit of her children. Obviously, your Petitioner is capable of managing her own estate and she is investing to produce a higher yield than the trustee. Your Petitioner has relinquished her interest in the trust in favor of her children as she believes it is imperative that the yield be increased. A duplicate original of the renun- ciation is attached hereto and made a part hereof as Exhibit D. The Marital Trust established by the Testator has been terminated, your Petitioner having withdrawn all the funds therefrom believing that she could manage them in a fashion superior to that of the trustee. A third purpose of the trust (of the entire estate plan) was to reduce federal estate taxes and this purpose will not be thwarted if the trust is terminated and the corpus distributed to your Petitioner's children. 7. Your Petitioner requests the Court to terminate and pay over the entire principal and accumulated income after deduction of expenses and commissions to her children outright under Section 6102(a) of the Probate, Estate and Fiduciaries Code. CALABRO respectfully represents: 1. That by Order dated June 24, 1982, your Honorable Court directed that the Trust be terminated and that distribution be made. A copy of said Order is attached hereto and made a part hereof as Exhibit A. 2. The Trustee has assigned supervisory duties regarding the Trust to Gary C. Goodlin and he has acted in such capacity for at least the past fou (4) years. 3. That Gary C. Goodlin, Trust Officer responsible for this Trust, and Pittsburgh National Bank, the Trustee, have not complied with said Order and continue to refuse to do so. 4. On June 28, 1982, counsel for your Petitioner sent a copy of said Order to counsel for Trustee. A copy of the cover letter is attached hereto and made a part hereof as Exhibit B. 5. Counsel for the Trustee acknowledged receipt of the June 28, .1982, letter. 6. On August 25, 1982, counsel for your Petitioner wrote to Gary c. Goodlin regarding distribution of the Trust Estate. As of this date PNB holds the funds and is evidently doing nothing to comply with the Oider. ' This is outrageous. The original audit petition did not specify what Mr. Kusturiss' fee would be. He informed me that he submitted a bill and was promptly paid. Thus, all that is needed to wrap this up is for the trustee to file a supplemental audit petition showing payment of the.fee and a decree of distribution. Preparation of the supplemental petition and decree are completely within your control. I can see no justification for the delay. If the distribution to Mrs. Calabro's children is not made by September 15, 1982, I shall file a pet~tion asking the Court to find you and the bank in contempt and asking for any other relief which seems appropriate. We had been quite concerned because we had heard nothing from you, our counsel, or the Court directly with respect to this matter. All that would have been required was for us to have received a copy of the Order or in the alternative some word that such an Order had been entered. I hope that you and the Calabro family will accept our apologies for not doing something about which we had no knowledge. What puzzles me the most is why you, as attorney for the Calabro family, would have waited two months to inquire of us regarding this matter and then take an insulting and offensive posture. While I can submit to the Court a second supplement to our account detailing transactions, both receipts and disbursements, since the filing of our account and the presentation of the Petition for Distribution, I cannot prepare and sub- mit a "suggested" Decree of Distribution until I know what basis that Decree of Distribution is to be framed. I would suggest that you use your good office to induce the Clerk of the Orphans' Court Division to provide us with some informa- tion regarding the Judge's Order so that we may know what it is we are expected to do. Calabro Residuary Dear Mr. Speakman: We acknowledg~ herewith your letter of August 25, 1982 with respect to the trust established by Dominick C. Calabro. I was most appreciative to learn that Judge Terputac had signed an Order on June 24, 1982 directing termination of the trust and the distribution of the corpus. We had been quite concerned because we had heard nothing from you, our counsel, or the Court directly with respect to this matter. Please be assured that our bank stands ready to comply with the Order. All that would have been required was for us to have received a copy of the Order or in the alternative some word that such an Order had been entered. I hope that you and the Calabro family will accept our apologies for not doing something about which we had no knowledge. What puzzles me the most is why you, as attorney for the Calabro family, would have waited two months to inquire of us regarding this matter and then take an insulting and offensive posture. While I can submit to the Court a second supplement to our account detailing transactions, both receipts and disbursements, since the filing of our account and the presentation of the Petition for Distribution, I cannot prepare and sub- mit a "suggested" Decree of Distribution until I know what basis that Decree of Distribution is to be framed. I would suggest that you use your good office to induce the Clerk of the Orphans·' Court Division to provide us with some informa- tion regarding the Judge's Order so that we may know what it is we are expected to do. As of this date PNB holds the funds and is evidently doing not~~ng to comply with the Order • • This is outrageous. The original audit petition did not specify what Mr. Kusturiss' fee would be. He informed me that he submitted a bill and was promptly paid. Thus, all that is needed to wrap this up is for the trus~ee to file asupplemental audit petition showing payment of the fee and a decree of distribution. Preparation of the supplemental petition and decree are completely within your control. I can see no justification for the delay. If the distribution to Mrs. Calabro's children is not made by September 15, 1982, I shall file a petition asking the Court to find you and the bank in contempt and asking for any other relief which seems appropriate.
