WHEREAS,such change i:l circumstances requires an Amendment to
the Agreement of Jc..nuary 7,1967.
NOW THIS AGREEMENT WITNESSETH that the parties agree as
follows:
WHEREAS,since the exeeution of a Family Agreement made among
the parties hereto under date of January 7,1967,JohnlVI.Pence)Jr.and his
fc.mily have returned to Washington,,Penn2ylvania from the State of Texas and
the s.aid John lVI.Pence,Jr.is willing to operate a Painting and Interior Decor-
ating business to be owned by Laura Paul Pence,his mother,under the spe~ific
tErms and conditions of a separate lLgreement;and,
2.John M.Pence,Jr.does hereby surrender to Laura Paul Pe::1ce
any claim which he might have had teo the t2ngible and physical assets of the
business previously .c<?nducted by John M.Pence,Sr.
3.All parties agree that the future operations of the Painting and
IInterior Decorating business shall be as set out in the separate Agreement be-:-
,Itween John M.Pence,Jr.and Laura Paul Pence as the same now is and as it
may be amended from time to time.
1.Wilbert C,Pence is relieved of the obligation to conduct the
i Painting and Interic~Decorating business previously carried on by John M.
Pence,Sr.and he does hereby re~inquish any rights which he might have had to
f or::erate said busineEs and to be realistically compensated therefor and to parti-
cbate in the anticipated profits,if a::1Y;the said Wilbert C.Pence does also
surrender the optior-given in the previous Agreement to purchase equity in ec:.uip
ment as previously provided.

Refer to the last sentence of Item II of the Will.Within a short period
before the date of death'on December 28,1966,the decedent agreed with the
Jc>hn M.Pence,Jr.named in such sentenc'e that John M.Pence,Sr.would
pay John M.Pence,Jr.$7,200.00 on account of the improvements which
Junior had made to the premises at 600 Beech Street and which premises
John M.;'Penc€,Jr.had·occupied as a residence for many years.Decedent
paid $2,999.50 to Junior shortly before Seniori s death and on the .very morning
of the day when decedent died,Junior and his entire family left Washington,
.Pennsylvania to establish a new residence in Texas.As shown by the Account
under Miscellaneous Expenses,the Executrix takes credit for the payment of
the premises in the amount of $4,005.00 and subsequently she transferred to
John M.Pence,Jr.the 1961 GlVIC Panel Truck which had been distributed
to her in kind at a ,value of $250.00 thus discharging the payment of the
$7,200.00 mentioned.
By Family Agreement dated January 7,1967,executed by Laura Paul
Pence,Wilbert C.Pence and John M.Pence,Jr.,it is,among other things.
provided that riJohn M.Pence,Jr.,had surrendered any claim which he might
have had to the premises known as 600 Beech Street,Wash!qgton,Pennsylvania,
and to the benefits conferred by Item III of the above mentioned Will"and it is
also provided "All par~ies hereto agree that the .~quipment,machinery and
supplies of the antique refinishing hl,;lsiness conducted by John M.Pence,Sr.,
shall be administered as a part of the residue of his estate".

I wanted to answer the call this morning.I think perhaps I can
explain some things in this estate in narrative form.But the
decedent died on December 2:8,1966 sUddenly and unexpectedly.
He was a painter and decorator.And in that business he had an
accun:ulation of persor-al property as usual.His son,John M.
Pence",Jr.,had worked with him as an employee in that business,
and until shortly before Mr.Pence's death,he had rather expected
that his son would sU;·~.e.d him.The son had a bad sinus condition
and elected to go to Texas Ci:y.Now you will find in Item two of
the wLl,the reference to a p:ooperty at 600 Beech Street.Actually
this property was owned by l\Cr.and Mrs.Pence as tenants by the
entirety....And it would be the will of the second to die that would har..e
effect on it.Mr.Penc=was the first to die.But anyway,the
younger Pence had spent time and effort in upgrading that property.
And before he decided to go to Texas his father said,"Well,I owe!
you $7200 .."and forthwith paid him $2999.50 or something,I waa
not a part of that transaction.
On DEcembEr 28,young John Pence,with his
entire family and as many of his household goods·that he could cc:rrv
in the stationwagen,s,eL.ou:for Texas City and that night abou:,

midnight his father died.And here we were with a will that had all!
these things in it.John,the younger,renounced his right,which I
was provided for in Item 3,to receive the articles that related :0
the business.And of course1 jt::fell into the residue and Mrs.Pen e
became the owner of it and is receipted for it.
Later,John Pence,Jr.did come back and operat ~d
the bl:.siness for his mother.But she was the sole proprietor.There
is a provision for the forgivEness of death and Wilbert Pence had
a balance owing his father which is shown in the account,,and for
such taken care of.I just want to say that if Mr.Hana has any,
problems,I have too many documents to put in his file,various
family agreements and revised family agreements,and they deal
with so many things,more than those which will concern,him,thct
I will just say if you will call me,I will produce them to help him
follow this thing.
I am embarrassed that I don't seem to have any
Personal Property Tax---nol:Personal Property Tax,but Inheritance
Tax receipts,and I think His because I didn't pay any.
