attached hereto as Exhibit "A";and
WHEREAS,in order to pay the debts of said estate,
it is necessary to sell the real estate and,for that purpose,
to pay the mortgage thereon,and the provisions of the Last Will
and Testament can therefore not be carried into effect;
NOW,THEREFORE,THIS AGREEMENT WITNESSETH,that
the undersigned,being the only parties in interest under said
Last Will and Testament as well as the only heirs at law of the
said decedent and the Executors of the said estate do hereby
mutually agree,intending to be legally bound,as follows:
1.-Each shall contribute the proceeds of the life
insurance policies ontt:e life ,of s'aid decedent .toward the pay-
.ment of the debts and expenses of said estate without seeking
reimbursement from the estate.
2.The real estate of which the said decedent
died seized shall be sold by the Executors and ~he sale expenses·
the mortgage thereon and the 1968 taxes paid in full out of the
proceeds of sale and the balance of the proceeds of sale be
applied first to the payment of the balance of the debts,
by
expenses and taxes owed/said estate.

3.Any surplus remaining in said estate after the
payment of the expenses of sale,the mortgage,real estate taxes,
debts,expenses and inheritance taxes shall be distributed to
Joseph L.Hunter in lieu and full satisfaction of his distributive
share of said estate.
4.The payment and satisfaction of the mortgage
hereinabove referred to (which is also a mortgage on land owned
by Lloyd H.Hunter and his wife)shall be in lieu and full satis-
faction of the said Lloyd H.Hunter's distributive share of said
estate.
5.Each of the undersigned irrevocably assigns
his interest in said estate to the extent necessary to accomplish
the foregoing.
