common stock to my beloved wife,Audrey I.Cline.
Third.I give and bequeath 45 shares of Sears Roebuck common
stock to each of the following three children,namely:Norman L.,Jr.;
Virginia Rae;and Earl Patrick.(being a total of 1'35 shares)
Fourth.I give and bequeath 15 shares of Sears RoebuGk common
stock to my beloved son-in-law,Joseph 'Gasbarrini.
Fifth.I give,bequeath and devise the balance of my estate,real,
_personal-and mixed,to my children above named,equally,share and

PETITION FOR CITATION FOR DELIVERY OF
DECEDENT'S PROPERTY TO THE EXECUTRIX
The Petition of VIRGINIA RAE CHOPAK respectfully represents:
1.That Norman L.Cline a/k/a N.L.Cline,sr.'a/k/a
Norman L.Cline,Sr.died testate on July II,1968 and Letters
Testamentary'were granted on July 23,1968 to the Petitioner
by the Register of Wills of Washington County.'.
2.That sometime prior to his death the decedent had
assigned and transferred to his daughter,Virginia Rae Chopak,
500 shares of Sears,Roebuck Common Stock•
.3.That on March 11,1968 the decedent made a Will
bequeathing and devising said 500 shares to his wife,children
and son-in-law,as shown on the copy \of said Last Will and
Testament attached hereto.
,4.That shortly before his death the decedent obtained
,
from his daughter an assignment of said 500 shares of stock,
.which·;said assignment was executed in blank.
5.That at the time of decedent's death,to wit:July 11,
1968,the siiid 500 shares were registered in the name of your
Petitioner,Virginia Rae Chopak.
6.That on or about September 20,'1968,the widow of the
decedent,Audrey I.Cline,presented said assignment filled out
to show her as the new owner of said stock,as will more fully
appear by reference to the letter from The First National Bank
of Chicago,transfer agent,a copy 'of which is attached hereto
and made a part hereof.

Petitioner as executrix for distribution in accordance with

Roebuck &Co.for registration of ·transfer to Audrey 1.Cline
and that said transfer will be registered unless,within 30 days
from the date of mailing this notification,either:
(a)an appropriate restraining order,injunction or
other process issues from a court of competentjurisdiction;or .,.

AND NOW,comes AUDREY 1.CLINE.t by her Attorney.t.

Rae Chopak as follows:
1.-~Paragraph 1 of the,Petition is admitted.
2.Paragraph 2 of the Petition wherein it is averred:"That
sometime prior to his death the decedent had assigned and transferred to his
daughter,Virginia RaeChopak"500 shares of Sears..Roebuck Common Stock."
is specifically denied"and on the contrary;>the 500 shares of Sears",Roebuck
Common Stock had been"prior to the death of the decedent,held by the
decedent and his wife as tenants by the entireties.However,at a later date
the wife of the decedent did execute an Assignment to the decedent upon the
decedent~s representation to her that he needed to sell some of the stock which
at that time was jointly owned as tenants by the entireties.That subsequent
thereto"the wife of the decedent,Audrey I.Cline"did discover that instead
of using the Assign.ment for purposes of selling the aforesaid stock or a portio
thereof,that the decedent caused a certain transfer of the stock to be made to
Virginia Rae Chopak..It is further averred that Audrey I.Cline did then,

and there inform the decedent that'this was not in accordance with the Assign'"

ment that she had executed at an earlier date and that the stock should be
r~turned to joint names and joint ownership as it had been prior to the Assign-
ment..
3.In answer to Paragraph 3'of the Petition wherein it is
averred:"That on March 11,1968 the decedent made a Will bequeathing
and devising said 500 shares to his wife,l children and son"'in""law"as shown
on the copy of said Last Will and Testament attached hereto.".1 Audrey I.
Cline neither admits nor denies the averments therein.However1 it is
admitted that the Will makes certain disposition of the shares of stock.It
is further averre~that at all times relevant hereto"the stock had been con'"
sidered joint stock.
4.In answer to Paragraph ~of th~.~.etiti9n wherein it is
averred:"That shortly before his death the decedent obtained from his daught r
an assignment of said 500 shares of stock,which said assignment was execute
in blank."is denied as stated,and on the contrary it is averred that Audrey
I.Cline"the wife of the decedent,did insist that the decedent place the stock
back in joint names and that the said Assignment which is referred to in
Paragraph 4 was executed for the purpose of placing the stock either in joint
names or giving it all to the decedent.
5..In answer to Paragraph 5 of the Petition wherein it is
averred:"That at the time of decedenPs death,to wit:July 11,1968,the sai
500 shares were registered in the name of your Petitioner,Virginia Rae
Chopak."is denied,and on the contrary it is averred that at all times rele'"
vant hereto the stock should have been jointly owned .and that ~ny registration
of the stock in the name of Virginia Rae Chopak was procured by misrepre....
sentation in the first instance and was not proper.

6.In answer to Paragraph 6 of the Petition wherein it is
averred:"That on or about September 20"1968"the widow of the decedent"
Audrey I.Cline"presented said assignment filled out to show her as the new
owner of said stock,as will more fully appear by reference to the letter from
The First National Bank of Chicago,transfer agent"a copy of which is attache
hereto and made a part hereof.""Audrey I.Cline avers that the stock had
been delivered to her with the proper assignment executed thereon pursuant
to the arrapgement made by the decedent with her some time prior to his death
Audrey I"Cline further avers that said stock was ~Bubmitted to the proper
transfer agent for transfer in accordance with the aforesaid assignment.
In further answer -thereto~Audrey I.Cline avers that the stock had been
delivered to her prior to the decedent's death with proper assignment thereon"
and that the decedent informed her that she was to have all of the stock.
7.Paragraph 7 of the Petition is admitted.'

9.In further answer to the said Petition"it is further averred
that the stock had originally been registered in both husband and wife's name
and"as such"was held as tenants by the entireties.It is further averred
that subsequent thereto.,the decedent"through misrepresentation"procured
the wife's name on a blank stock power informing her that he was going to
sell some of tile stock and that the proceeds thereof would be jointly used.
It is further averred that when the wife discovered that the stock had been"
through this misrepresentation"registered in the name of Virginia RaeChopak
she 'immediately informed her husband that this was not the intent of her
signing the stock powers and other documents and that the stock should be
returned to its original registration..to-wit:that of her and her husband,

the decedent.That prior to the death of the decedent"he procured the stock
to be assigned and delivered the stock to Audrey 1.Cline"the wife,and the
stock certificates as assigned have remained in the possession of the wife
since that time.It is further averred that the decedent did not"nor at any
time"represent to the wife that the stock was to go to any other person except
to her.It is further averred that the decedent at aU times pertinent hereto
desired the said shares of stock to be the property of his wife.
WHEREFORE"AUDREY 1.CLINE"Widow of the decedent,

make such appropriate Order confirming her ownership of the 500 shares of

AGREEMENT AND STIPULATION
MADE this day of October 1971
BETWEEN AUDREY I.BARRINGER of Chartiers Township,Washington
County,Pennsylvania,party of the first part,
AND
VIRGINIA RAE CHOPAK of the Borough of Canonsburg,Washington County,
Pennsylvania,individually and as the Executrix of the Estate of
Norman L.Cline,Deceased,NORMAN L.CLINE,JR.of Scott Township,
Allegheny County,Pennsylvania,EARL PATRICK CLINE of Willoughby,
County,Ohio,and JOSEPH GASBARRINI of the Village of
Muse,Cecil Township,Washington County,Pennsylvania,parties of
the second part.
WHEREAS,there is presently pending in the Orphans'Court
Division of the Court of Common Pleas of Washington County,
Pennsylvania,a Citation Proceedings in the Estate of Norman L.
Cline,a/k/a N.L.Cline,Sr.,a/k/a Norman L.Cline,Sr.at No.
63-68-1010 in the said Orphans'Court Division,which said proceed-
ings involves the ownership of five hundred shares of the common stock
of Sears,Roebuck &Co.,represented by certificates numbered
C2-133572 through C2-133576,both inclusive;and
WHEREAS,the parties desire to terminate said proceedings by
an amicable settlement and Gonsent Order of the Division of said
Court on the basis of the facts which they believe can be establi?hed
<by the available relevant,competent and material evidence,and thus,
avoid the expense of protracted litigation.
NOW,THEREFORE,KNOW ALL MEN BY THESE PRESENTS,that the parties
hereto do,with the intent that they be legally bound hereby,
stipulate and agree that,subject to the approval of the Orphans'

Pennsylvania,the Judge of said Division shall render the following
Consent Decree:
"AND NOW,this day of 1971,an Agreement
and Stipulation dated October 1971 by and between Audrey I.

individually and as the Executrix of the Estate of Norman L.Cline,
Deceased,Norman L.Cline,Jr.,Earl Patrick Cline and Joseph
Gasbarrini,as parties of the second part,having been presented,
upon motion of George B.Stegenga,Esq.,George J.Modrak,Esq.,
John F.Will,Jr.,Esq.~and Zeman and Zeman,Esqs.,attorneys for
the parties,the said Agreement and Stipulation,after due considera-
tion thereof,is hereby approved.The Orphans'Court Division of
the Court of Common Pleas of Washington County,Pennsylvania,does
hereby find and Decree that
"1.The five hundred shares of the Common Stock of Sears,
Roebuck &Co.,represented by Certificates numbered 02-133572
through C2-l33576,both inclusive,are not,and never were,an
asset of the Estate of Norman L.Cline,a/k/a N.L.Cline,Sr.,
a/k/a Norman L.Cline,Sr.,Deceased.
"2.The aforesaid shares of stock were at all times held and
owned by the said Norman L.Cline and Audrey I.Cline (now
Audrey I.Barringer)his wife,as tenants by the entireties,in
trust,nevertheless,as follows:three hundred fifty shares
thereof for the use and benefit of the said Norman L.Cline and
Audrey I.Cline,his wife;forty five shares thereof for the
use and benefit of Virginia Rae Chopak;forty five shares
thereof for the use and benefit of Norman L.Cline,Jr.;forty
five shares thereof for the use and benefit of Earl Pa-trick Cline;
and fifteen shares thereof for the use and benefit of Jos~ph

shares of stock to be transferred to the beneficiaries as
follows:
