SIMMONS, PRESIDING JUDGE of said Division: The Petition of Lois Dale Smith and Clair Riddle Smith, respectfully represents that: 1. Petitioners are the Executors of the Estate of Harry A. Smith, Deceased, late of South Strabane Township, Washington County, Pennsylvania, which Estate they are presently administering subject to the jurisdiction of your Honorable Court. 2. Among the assets of said estate is a tract of land situate in South Strabane Township, Washington County, Pennsyl- vania, containing 3.1401 acres, adjoining land owned by a partner- ship named North Gate Associates. 3·. In or about january of 1967 and thereAft~r multi-store shopping center and a large parking lot were con- structed on land of North Gate Associates, and in connection therewith, certain earth slides, encroachments and water drainage occurred which damaged the 3.1401 acre tract of land of the Estate of Harry A. Smith hereinabove referred to. 4. There is pending in the Court of Common Pleas of Washingto~ County, Pennsylvania, at No. 6665 in Equity a suit filed by your Petitioners in their capacity as Executors of the Estate of Harry A. Smith and by Harriet Jean Smith Gnagey and Lois Dale Smith as residuary devisees of said estate against Jacob L. Cohen, Lenoard H. Rudolph, Jesse J. Cohen, Richard Kauf- mann, Richard Cohn and Paul Glosser~ a partnership trading as North Gate Associates, to seek injunctive relief from and damages for said earth slides, encroachments and water drainage. B & L Paving Company, Inc., and Transamerica Insurance Company have been joined as additional defendants in the suit. 5. Your ~etitioners have recently negotiated a very favorable sale of the 3.1401 acre tract of land referred to above to purchasers who are willing to accept the land in its present condition, provided that the pending suit may be settled and discontinued and satisfactory agreements made between the purchasers and North Gate As~ociates as to future easement and flowage rights,which agreements have been made. 6. In view of the favorable sale and the conditions .. thereof, your Petitioners have been advised, believe, and there- fore aver that it is in the best interests of the Estate of which they are Executors to accept an offer made.by the Defendants in the above suit, to pay to said Estate the sum of Five Thousand Dollars ($5,000) in exchange for full and complete releases and the settlement and discontinuance of the action filed at No. 6665 in Equity. 7. Harriett Jean Smith Gnagey and Lois Dale Smith, the residuary devisees and all of the parties in interest in the Estate of Harry A. Smith, Deceased, join in this Petition and in the prayer thereof. Petitioners are the Executors of the Estate of Harry A. Smith, late of South Strabane Township, Washington County Pennsylvania, who died on January 8, 1968, leaving his Last Will and Testament dated May 5, 1966, which has been duly probated and is of record in the Office of the Register of Wills of Washington County, Pennsylvania. 2. Among the assets of the Estate of said Decedent is a lot of ground situate in South Strabane Township, Washington County, Pennsylvania, at the southeasterly corner of U.S. Highway Traffic Route No. 19 and Cameron Road containing 1.7408 acres more particularly described in the proposed Option to Boron Oil Company a copy of which is attached hereto, made part hereof, and identifi d as Exhibit A. 3. It is desirable for the proper administration and distribution of the Estate that the real estate hereinabove . •, referred to be sold to provide funds for the payment of Federal ' Estate Taxes, Pennsylvania Transfer Inheritance Taxes and expenses of administration, and the tentative offer contained in the Option attached hereto as Exhibit A is the highest offer from a financial ly responsible purchaser that Petitioners have received in the period of more than four years that said real estate has been J offered for sale. The offer of Boron Oil Company is contingent, however, upon your Petitioners' executing and delivering the preliminary 60-day Option attached hereto as Exhibit A. 4. The Last Will and Testament of Harry A. Smith, Deceased, does not contain·an express authorization to his Executors to grant options for the sale of real estate. 5. Your Petitioners and Harriet Jean Smith Gnagy, being all the parties in interest under the Last Will and Testamen of the said Harry A. Smith, Deceased, join in the prayer of this Petition. 6. In accordance with the provisions of Section 12, Rule 10 of the Supreme Court Orphans' Court rules, there are attached hereto as Exhibit B the Affidavits of two competent persons setting forth that they have inspected the real property to be optioned and that they are acquainted with the value of the real estate and locality of such property, that they are not personally interested in the proposed Option and that in their opinion the proposed consideration is more than can be obtained at public sale.
