BSH:LH:LHR:LL LAST WILL AND TESTAMENT I,HAZEL M.HACKNEY,of Washington County,Pennsylvania, being of sound mind and memory do make,publish and declare this my Last Will and Testament,hereby revoking and declaring null and void any and all Wills and Codicils by me at any time heretofore made. FIRST:I direct my Executor to pay my just debts,the expenses of my last illness and my funeral expenses. SECOND:I give and bequeath all my jewelry,automobiles, clothing and other purely personal effects to my husband,CHARLES E. HACKNEY,if he survives me.In the event my husband fails to survive me,I give and bequeath the aforesaid items to my children,DONALD C. HACKNEY,JAMES B.HACKNEY and ANNA L.WRIGHT,in equal shares,or to the survivors or survivor of them living at my death. THIRD:All the rest,residue and remainder of my estate, of whatsoever kind and nature and wheresoever situate,of which I shall die seised and possessed or to which at the time of my death I may be entitled,I give,devise and bequeath to my husband,CHARLES E.HACKNEY, if he survives me.In the event my husband fails to survive me,I give, devise and bequeath the aforesaid rest,residue and remainder of my estate to my children,DONALD C.HACKNEY,JAMES B.HACKNEY and ANNA L.WRIGlIT, in equal shares.In the event any of my aforenamed children should not then be living,I give,devise and bequeath his or her equal share to his or her then living issue,per stirpes,or in default of issue of such deceased child then surviving,such share shall be added in equal parts to the shares distributable to my other aforenamed children or their issue,as the case may be, to be distributed as though original parts thereof.The terms "child","children" or "issue"shall specifically include any person or persons adopted by my issue whether such adoption should occur prior to or subsequent to my death. It is my specific intent not to exercise any power of appointment given or granted to me by my husband,CHA.RLES E.HACKNEY,in his Last Will and Testament,any Agreement or Trust,or otherwise,but to exercise all other powers of appointment given to me by persons other than my husband. FOURTH:I authorize my Executor to invest the principal of my estate in such stocks,bonds,mortgages,securities or other property, real or personal,as he may believe advisable,without being limited to the classes of securities or investments in which fiduciaries are author- ized by law to invest funds. FIFTH:I authorize my Executor to sell any and all real estate Of which I die seised,at public or private sale,for such prices and upon such terms and conditions as he shall deem advisable,and to make,execute and deliver good and sufficient deed or deeds therefor,conveying title thereto in fee simple absolute or for any less estate to any purchaser or purchasers. SIXTH:I authorize my Executor to make distribution of my estate in kind,in cash,or partly in kind and partly in cash,as my Executor shall believe advisable. SEVENTH:I direct my Executor to payout of the princi- pal of my residuary estate all Federal Estate,State Inheritance, - 2 - or Estate and Succession Taxes imposed upon or with respect to my estate or any property in which I may have an interest,including any property not forming a part of my testamentary estate but in- cluded in my gross estate for tax purposes,except any property over which I have a taxable power of appointment in the event it shall be held that I have not exercised such power of appointment in this Will,at such times and in such manner as my Executor,in his discretion,shall deem advisable;and no such taxes or any por- tion thereof so paid shall be collected from or paid by any other person,persons or corporations by way of reimbursement,proration, apportionment or otherwise. EIGHTH:I name and appoint my husband,CHARLES E.HACKNEY, as Executor of this,my Last Will and Testament.In the event my husband is unwilling or unable for any reason to serve in such capac- ity,I name and appoint PITTSBURGH NATIONAL BANK,Pittsburgh,Pennsyl- vania,as Executor of this,my Last Will and Testament. I appoint PITTSBURGH NATIONAL BANK as Guardian of any property which passes to a minor and with respect to which I am authorized to appoint a Guardian and have not otherwise specif- ically done so,granting it in this capacity the power to agree to any distribution of the said property that it deems advisable;the power to retain any property,real or personal,received by it in kind and the power and authority to sell the same upon such terms and conditions as it believes advisable,giving good title to any - 3 - real estate thus sold;and the power and authority to invest in such stocks,bonds and/or other investments it deems advisable,without being limited to those investments in which guardians are by law required to invest minors'funds;and the power and authority to disburse to or for the benefit of the minor wards so much of the income and the principal of the minor's share of the said property as it,in its sole discretion,deems advisable for the minor's com- fort,maintenance,support and complete education,including prepara- tory,college and post-graduate or professional training,and to aid the minor in the event of any illness,injury or other emergency affect- ing the minor wards wherein money is needed.
