FIRST:I direct my Executrix to pay my lawful debts and the expenses of my last illness and funeral. SECOND:I bequeath all my jewelry,automobiles,clothing and other purely personal effects,as well as all household goods,furnishings and furniture which I may own,including any policies of insurance thereon, to my wife,THELMA DUBBS,if she survives me. In the event my wife fails to survive me,I bequeath the aforedescribed property to my then living children,to be distributed among them as they shall agree among themselves,or should they fail to agree,as my Executor,in its sole discretion,shall deem advisable,making such distribution among them in shares of approximately the same val~e. In the event any of my children should then be a minor,the person having custody of such child may assist in selecting such minor's share,and I authorize my Executor to deliver such minor's share of said property,with- out bond,to the person having custody of him or her,and the receipt of such person shall be a complete discharge of my Executor with regard to such minor's share of said property. THIRD:If my Kife,THELMA DUBBS,survives me, I bequeath and devise to my said wife,an amount equal to one-half (1/2)of the value of my adjusted gross estate as finally determined for federal estate tax purposes less the value for such purposes of all interests in property and proceeds of insurance on my life,if any,which pass or have passed to my wife under other provisions of this Will or otherwise than under this Will,but only to the extent that such interests in property and proceeds of insurance are included in my gross estate for federal estate tax purposes and qualify for the marital deduction.In making the computation necessary to determine such amount,the final determination in the federal estate tax proceedings will control,however,assets distri- buted in kind in satisfaction of this bequest and devise shall be distributed at their fair market values as of the date or dates of distribution.This portion of my estate shall be undiminished and unaffected by any death taxes. FOURTIl:All the rest,residue and remainder of my estate,I devise and bequeath to WESTERl'.-PENNSYLVANIA NATIONAL BANK,Pittsburgh, Pennsylvania,as Trustee under a certain Trust Agreement dated O~ 2-~197 0 .......' the assets of that Trust and h~ld,managed,and distributed by the Trustee in accordance with provisions of the said Agreement and any @mendments thereto. FIFTH:In the event the said Trust Agreement shall not be in effect at the time the assets of my estate are to be added to it,then the property herein bequeathed and devised to WESTERN PENNSYLVANIA NATIONAL BANK, as Trustee under such Trust Agreement,shall be held by it in trust and/or distributed in accordance with the provisions of the said agreement as last amended with like effect as if those provisions were set forth herein. SIXTIl:If my death and that of my wife occur under such circumstances that there is insufficient evidence that we have died other- wise than simultaneously,my wife shall be presumed to have survived me. -2- SEVENTH:My Executrix shall have the following powers in addition to those vested in her by law,exercisable without court approval: A.To retain any or all of the assets of my estate,real or personal,without any duty of diversification,specifically including any stock or obligations in WP N B CORPORATION I may own at my death. B.To invest and reinvest the principal of my estate in stocks,bonds,mortgages,secu=ities or other property,real or personal, without being limited by any statute relating to investments by fiduciaries. C.To sell at public or private sale,to exchange or to lease for any period of time,any real or personal property,and to give options for such sales,exchanges or leases,for such prices and upon such terms and conditions as my Executrix shall deem advisable. D.To distribute my estate to the beneficiaries entitled thereto in cash or in kind,or partly in each,such allocation of assets to be in the sole discretion of my Executrix. E.To compromise any claim or controversy affecting my estate. F.To retain in kind any business or business interest owned by me at my death,whether in the nature of a proprietorship,partner- ship or corporation,and to continue to operate such business during the administration of my estate for so long as my Executrix shall deem advisable, without any liability for loss or depreciation which may arise by reason of such retention.My Executrix may participate in the conduct of any business with respect to its management and affairs in the same manner as an individual could do as owner or stockholder of such business,including but not limited to (1)the voting of stock and the determination of all questions of policy; (2)the participation in any incorporation,reorganization,merger,consolida- tion,recapitalization,liquidation,sale or dissolution of such business; -3- (3)the investment of additional capital in,subscription to or purcnase of additional stock or securities of,or the making of secured,unsecured or subordinated loans to such business,pledging the assets of my estate as collateral therefor;(4)the election,employment or retention of directors, officers,employees or agents of such business,and the compensation of such persons for services performed.In addition to the normal compensation of my Executrix for services performed in the administration of my estate,my Executrix shall be entitled to additional compensation for services performed in the management and operaticn of any business or business interest. EIGHTH:I direct that all Federal,State and other death taxes payable because of my death,with respect to the property forming my gross estate for tax purposes,whether or not passing under this Will,including any interest or penalty imposed in connection with such tax,be paid out of the assets of my residuary estate without requiring any apportionment,reimburse- ment or contribution by any beneficiary under this Will or any Codicil thereto. In the absolute discretion of my Executrix,death taxes may be paid immediately, or the payment of taxes on future or remainder interests may be postponed until the time possession thereof accrues to the beneficiary,in which event such taxes shall be paid out of the principal of the trust subject thereto. NINTH:I appoint WESTERN PENNSYLVANIA NATIONAL BANK,Guardian of any property,other than tangible personal property,which passes to a minor,either under this Will or otherwise and with respect to which I am authorized to appoint a guardian and have not otherwise specifically done so.Until the minor reaches najority,the Guardian may,in its discretion, accumulate the whole or any part of the income from such minorls property, or may distribute or apply the whole or any part of the income and principal from such minorls property to or for the support,welfare and education of such minor by applying the funds directly for his or her benefit or making -4- payment to the minor or to his or her parent,guardian or other legal representative,without liability on the part of WESTERN PENNSYLVANIA NATIONAL BANK to see to the application of such payments.I confer upon said Guardian,in addition to those powers conferred upon it by law,all of the powers,authority,and discretion granted my Executrix hereunder.
