I,CHARLES W.DILLIE,of Washington,Washington County,
Pennsylvania,do hereby make,publish and declare this to be
my Last Will and Testament and revoke any and all Wills
heretofore made by me.
FIRST:I direct that all my debts and funeral
expenses be paid as soon as may be convenient after my
decease.
SECOND:I give and bequeath twenty (20%)percent of
my capital stock in Dillie Motor Freight,Inc.to my sons,
ClffiRLES W~DILLIE,JR.and H.DUANE DILLIE,in equal shares.
THIRD:All the rest,residue and remainder of my
estate,real and personal,I give,devise and bequeath to
my wife,JEAN A.DILLIE,provided she survive me by thirty days.
FOURTH:In the event my wife,JEAN A.DILLIE,should
predecease me or die on or before the thirtieth day following
my death,then and in that event I give,devise and bequeath
all the rest,residue and remainder of my estate as follows:
A.I give and bequeath all my capital stock in

or personal,without being limited to the classes of securities
or investments in which fiduciaries are by law authorized to
invest funds.
C.To sell,exchange,lease,encumber,option or
otherwise dispose of all or any portion of my estate,real or
personal,in such manner and upon such terms and conditions as
shall be deemed advisable,and to make,execute and deliver
deeds,mortgages,leases,assignments and other documents
necessary to effectuate any powers herein granted and which
shall specifically include the authority to grant leases
extending beyond the period authorized by law.
D.To make distribution of my estate in kind,in
cash,or partly in kind and partly in cash and to this end,
allocation of assets in kind shall be in the sole discretion

sylvania,do make,publish and declare this to be the First Codi-
cil to my Last Will and Testament dated May 10,1971.
I hereby revoke Paragraph Second of my Will dated May 10,
1971,and substitute the following new Paragraph:
SECOND:I give and bequeath all my capital stock in Dillie
Motor Freight,Inc.,except Three Hundred Forty-Eight (340)shares
of common stock to my sons,CHARLES W.DILLIE,JR.,and H.DUANE
DILLIE,in equal shares.
In all other respects,I hereby ratify,republish and con=irm

At a session of said Court held on the 3rdday of October,
1977,nunc pro tunc July 6,1977.
PRESENT:HONORABLE GERALD T.GRAHAM,JUDGE OF PROBATE.
This time having been appointed for hearing the petition
of Jean A.Dillie praying for the probate of the instrument dated
May 18,1971,heretofore filed in said Court,purporting to be the
Last Will and Testament of said deceased;and there being filed with
this Court a First Codicil to said Last Will and Testament which
codicil is dated March,1972;and due notice of the hearing on said
petition having been given as directed by said Court,the said
petitioner appeared by her Attorneys,Sikkenga,Prince,Barecki &
Nicholas,and no one appeared in opposition thereto.
It appearing to the Court from the testimony of Samuel P.
Delisi one of the sUbscribing witnesses to said Last Will and Testa-
ment dated May 18,1971,that said deceased signed and duly executed
said instrument as and for his Last Will and Testament in the
presence of sufficient and competent witnesses,and that the said
witnesses attested and subscribed said instrument as subscribing
witnesses thereto,at the request of said deceased in his presence,
and in the presence of each other,and that said deceased at the
time of the execution thereof was of full age and sound mind,and
under no restraint or undue influence;
IT FURTHER APPEARING,that said codicil dated March,1972
