ACVG:RDA:MJJ LAST WILL AND TEsrAMENT I,WILLIAM A.CARROLL,of Washington County,Pennsylvania, being of sound mind and memory do make,publish and declare this my Last Will and Testament,hereby revoking and declaring null and void any and all Wills and Codicils by me at any time heretofore made. FIRST:I direct my Executor to pay my just debts,the ex- penses of my last illness and my funeral expenses. SECOND:I give and bequeath all my jewelry,personal auto- mobiles,clothing and other purely personal effects to my wife, ELIZABEI'H P.CARROLL,if she survives me.In the event my wife fails to survive me,I give and bequeath the aforesaid items to my then liv- ing children in equal shares. THIRD:In the event my wife,ELIZABErH P.CARROLL,is liv- ing at my death,I give,devise and bequeath to PEOPLES FIRST NATIONAL BANK &TRUST COMPALIJY,Pittsburgh,Pennsylvania,as Trustee under that certain Revocable Life Insurance Trust Agreement dated 5el'teml>er/fJ tf/S"S; and actually executed by me prior to my signing this Will,so much of my estate as will afford my estate the maximum allowable marital de- .><'" duction under Federal Estate Tax Laws when this share of my estate is considered with any and all other property passing or which has passed to my wife under the terms of this \'iill or otherwise,and which other property is included in my gross estate for Federal Estate Tax purposes and in the marital deduction allowed my estate.~Executors shall " ·. exclude from this gift,which is for the benefit of rII:3"wife,any termi- nable interests which would not be deductible as part of the marital deduction allowed my estate if given to my wife. FIFrH:If for any reason the said Life Insurance Trust Agree- ment is ineffective as a trust at the time the assets of my estate are to be added to it,then the property herein given,devised and bequeathed to PEOPLES FIRsr NATIONAL BANK &TRUST COMPANY as Trustee under such Life Insurance Trust Agreenent shall be held by it in trust in accordance with the provisions of the said Life Insurance Trust Agreement in its form im- mediately prior to the execution of this Last v~ill and Testament. SIXTH:I authorize my Executor to sell any and all real estate -2- f' of which I die seised,at public or private sale,for such prices and upon such terms and conditions as it shall deem advisable,and to make, execute and deliver good and sufficient deed or deeds therefor,con- veying title thereto in fee simple absolute or for any less estate to any purchaser or purchasers. SEVENTH:I authorize my Executor to make distribution of my estate in kind,in cash,or partly in kind and partly in cash,as my Executor shall believe advisable. EIGHTH:I direct my Executor to payout of the principal of my residuar,y estate all Federal Estate,State Inheritance,or Estate and Succession Taxes imposed upon or with respect to my estate or any property in which I may have an interest,including any property not forming a part of my testamentary estate but included in my gross es- tate for tax purposes,except any property over which I have a taxable power of appointment in the event it shall be held that I have not ex- ercised such.polier of appointment in this Will,at such times and in such manner as my Executor,in its sole discretion,shall deem advis- able,and no such taxes or any portion thereof so paid shall be col- lected from or paid by any other person,persons or corporations by way of reimbursement,proration,apportionment or otherwise. NINTH:A.I direct my Executor to comply with the provi- sions of any Agreement in effect at the time of my death,governing the sale or disposition of my business or business interest. -3- ••I' B.If there is no Agreement in effect at the time of my death,I authorize my Executor to continue to operate,during the period of administration of my estate,any business or business interest which I may own or in which I may have the controlling in- terest at the time of my death,for so long as my Executor deems it advisable.MY Executor shall be entitled to adequate and reasonable compensation for its services in connection with the operation of any such business or business interest in addition to the amounts usually awarded Executors in connection with the administration of estates. During the period of time that my Executor continues to operate such business or business interest,I authorize it to delegate the full responsibility for the operation and management of the business or business interest to such person or persons as it may select.Fur- ther,my Executor is authorized to distribute any such business or business interest to my Trustee in kind.In the event,however,my Executor deems it advisable,it is authorized to sell or liquidate any such business or business interest at such time or times and upon such terms and conditions as it ID.a\Y"deem advisable;selling such busi- ness or business interest to such person or persons,corporation or corporations as it may deem advisable.My Executor shall be without liability for any loss arising from or occasioned by the retention and operation and/or sale or liquidation of any such business or -4- .' business interest.
