FIRST:I direct that all my just debts and funeral expenses be paid as soon as convenient after my decease. SECOND:I give,devise and bequeath ene-half (1/2)of all the rest,residue and remainder of my estate be the same)real, personal or mixed to Western pennsylvania National Bank,McKeesport Pennsylvania,as Trustee in Trust,nevertheless,for the folloWing uses and purposes,to-wit: (A)The Trustee shall collect the income therefrom and,after paying any expenses properly chargeable to income in the administration of the trust,shall pay the net income quarter- annually to or for the benefit of my Wife,Mary E.Hoffman,during her lifetime. (B)In the event the income payable to my wife shall be insufficient in the opinion of the Trustee to provide for her welfare,maintenance and support,the Trustee is authorized to use,from time to time,so much of the principal as in the opinion of the Trustee may be advisable therefor. (C)The right of my wife to the income of the Trust shall not be SUbject to assignment,alienation,pledge, attachment or claims of creditors. (D)Upon the death of my wife,Mary E.Hoffman, I direct that my Trustee distribute any balance in the trust established for my wife,both as to principal and income to my brother,Arthur W.Hoffman and his wife,Harriet Hoffman,or to '\. \ ,".\ the survivor.In the event both my brother,Arthur W.Hoffman and his wife,Harriet Hoffman,predecease my wife,I direct that any residue of this Trust,upon the death of my wife,be distributed to the issue of my brother,Arthur W.Hoffman,share and share alike,per stirpes. THIRD:I give and bequeath the sum of One Thousand and 00/100 ($1,000.00)Dollars to the Trustees of the First Presbyteria Church of Monongahela,Pennsylvania,Old School. FOURTH:I give and bequeath the su~of Five Hundred and 00/100 ($500.00)Dollars to the B.P.O.E.Lodge No.455 of Monongahela,Pennsylvania,to be used by them for their building fund. EIGHTH:All the rest,residue and remainder of my estate be the same real,personal or mixed,I give,devise and bequeath Ilunto my brother,Arthur W.Hoffman and his Wife,Harriet Hoffman,I Ilor to the survivor.In the event that Arthur W.Hoffman and his :wife,Harriet Hoffman,both predecease me,I direct that this ,residue of my estate be distributed equally among the issue of ,Arthur W.Hoffman,per stirpes. - 2 - - l".J •t NINTH:The Trustee hereunder shall be Trustee in the nature of a Guardian for all minor persons,either in esse or in posse,who may participate in the distribution of my estate,and I authorize it,in that capacity,to apply to the maintenance, education,medical attention and general welfare of each such minor person so much of the income arising from and of the principa of his or her distributive portion as it may consider proper. TENTH:I direct my Executors to payout of the principal of my residuary estate all Federal Estate,state Inheritance,or Estate and Succession Taxes imposed upon or with respect to my estate or any property in which I may have an interest,including any property not forming a part of my testamentary estate but included in my gross estate for tax purposes,except any property over which I have a taxable power of appointment in the event it shall be held that I have not exercised such power of appointment in this Will,at such times and in such manner as my Executors,in their discretion,shall deem advisable;and no such taxes or any portion thereof so paid shall be collected from or paid by any other person,persons or corporations by way of reimbursement, proration,apportionment,or otherwise. ELEVENTH:I confer upon my Executors and Trustee the following discretionary powers which may be exercised without application to any Court: (A)To retain as a part of my estate or as a trust investment hereunder for so long as it deems proper,any stocks, bonds or other items of property belonging to me at my death,to vary investments,and to invest and reinvest funds in such stocks, bonds,securities,any common trust fund operated and managed by the trustee or other property of any kind or character whatsoever as it may deem suitable,irrespective of the laws of Pennsylvania relating to investments by fiduciaries and without liability for depreciation in value. -3 - (B)To sell and dispose of any real estate of whic I may die seized or at any time constituting a part of the trust corpus at such price and upon such terms as it may deem proper and to execute proper deeds. (c)To grant leases on real estate for any term or terms with or without options for renewals or purchase,althoug the term of the lease or of the renewal thereof may extend beyond the term of any trust hereunder. (D)To determine whether and/or what part of any receipt,increment,gain,disbursement,charge or loss shall enure to or fall upon principal or income. (E)To compromise,adjust,and settle any disputes and claims arising in the administration of my estate or of the trust established hereunder,whether such claims be asserted by my executors and trustee against other persons or by other persons against my estate. (F)To determine whether and in what manner intere t, dividends,rents and other income shall be apportioned between successive beneficiaries hereunder. (G)To hold the whole or any part of the trust property in one or more consolidated funds notwithstanding any direction for division into parts or shares. (H)To borrow money for the benefit of my estate, or of the trust hereunder,from itself individually or from any other source and,as security for the repaYment thereof,to hold or pledge any of the property of my estate or of the trust corpus and to execute mortgages.
