PART ONE of this my Will is to be effective in the event of my death before the death of my husband,JOSEPH P.HUGHES.PART TWO is to be effective in the event of my death after the death of my said husband or under circumstances which do not permit the order of our deaths to be established without resort to inference or presumption,but it is not to operate as an exercise of any power of appointment I may have over the estate of my husband or over any trust set up by my husband. PART ONE All of my property and estate,personal and real,remaining after the payment of the expenses of administration,the expenses of my last illness and burial,my debts,and death duties,I give,bequeath,and devise to my husband,JOSEPH P.HUGHES,and I appoint him Executor of this my Last Will and Testament. FIRST: my funeral be paid. PART TWO I direct that all of my just debts and the expenses of SECOND:I give and bequeath all of my tangible personal belong- ings to my surviving children in shares considered by my Executrix to be approximately equal in value. THIRD:I give,bequeath,and devise all the residue of my property and estate,personal and real,to FIDELITY TRUST COMPANY, of Pittsburgh,Pennsylvania,in its capacity as Trustee under an Agreement between it and my husband dated the 30th day of September,A.D.1953, providing for the disposition of the proceeds of policies of insurance on the life of my husband payable to it.The property here given to the Trustee shall become a part of and enlarge the corpus of the trust established by the said Agreement. The operation of this clause of my Will shall not be affected by subsequent revocation of the said Agreement.The said Agree - ment,as it may have last been amended,shall remain in effect for the purpose of expressing the trusts imposed upon my residuary estate and of defining the duties,powers,authority,and immunity of the Trustee. FOURTH:I give to my Executrix,in addition to the powers conferred by law,the following discretionary powers and authority,which may be exercised without application to any court,and I direct that no person with whom my Executrix may deal shall be required to inquire into the necessity or propriety of any of her acts or to see to the application of any money paid to her: (a)To retain as a part of my estate any stocks,bonds,or other items of property belonging to me at my death,and to transfer the property so retained to my Trustee in kind. (b)To sell and dispose of any property,real or personal, ..2 - which I own at my death,at such price and upon such terins as she may deem proper,and to execute proper deeds. (c)To grant leases for any term or terms with or without options for renewal or purchase. (d)To compromise and settle any differences and claims arising in the administration of my estate,whether such claims be made by my Executrix against other persons or by other persons against my estate.
