SIXTH:All the rest,residue,and remainder of my estate,real, personal and mixed,of whatsoever kind and wheresoever found,which I may own or to which I may be entitled at the time of my death,I give,devise and bequeath unto THE UNION NATIONAL BANK OF PITTSBURGH,a corporation,and EDWARD L.STOCKDALE,of Mt.Lebanon Township,Allegheny County,Penns:rlvania, and their successors,IN TRUST,HOWEVER,for the persons and for the uses and purposes hereinafter set forth,to-l!it:- (a)A ONE-HALF (1/2)PART of my residuary estate,which shall include my property at 5712 North Bay Road,Miami Beach,Florida,if then the same shall be ol'lned by me,shall be set apart as a separate trust and the net income therefrom shall be paid in monthly or other convenient payments unto my wife,WILMA L.BAKER,during her lifetime;in addition to such income payments,the Trustees are authorized to use at any time and from time to time so much of the principal of the corpus of the trust as in their discretion may be deemed adv~sable or desirable for her maintenance,support, comfort and welfare,and I direct the Trustees to give a liberal construction to the needs for which such principal might be used. -2 - ••• (b)My said wife,WIL~L.BAKER,shall have the right to occupy the property at 3712 North Bay Road,Miami Beach,Florida,for so long as she chooses to remain therein,and the expenses of maintaining the property in habitable condition,taxes,premiums of fire insurance,and other like charges shall be paid by the Trustees from the income received.In the event she should not wish to continue to reside therein,the Trustees,upon the receipt of her written notice of permanent removal therefrom,may sell the property to such person or persons for such price and upon such terms and conditions as they deem satisfactory. (c)Upon the death of my said wife,WILMA L.BAKER,the then principal theretofore held for her use shall continue to be held IN TRUST by my said Trustees and the net income therefrom shall be paid in monthly or other convenient payments to her son,GARRATT LeVAN,during his lifetime and, upon his death,the principal then remaining in the trust shall be divided into as many shares as there are issue of his living at the time of his death who shall take per stirpes,and each such share shall be held and administered as a separate trust estate until such surviving issue respectively attain the age of twenty-one (21)years when the principal shall be paid to t.h.em free and discharged of the trust.Should any of such issue of the said GARRATT LeVAN die before attaining the age of twenty-one (21)years,leaving issue to survive him,her or them,the share of such one or ones so dying shall be divided to and among the latter,distribution to be made as they severally attain the age of twenty-one (21)years.Should any of the surviving issue of the said GARRATT LeVAN die before attaining the age of twenty-one (21) years without leaving issue to survive him,he or them,the share of such - 3 - ••• one or ones so dying shall be divided equally among the sumving brothers and/or sisters,as the case may be,or the issue of any of them then deceased and shall be added to and become a part of the trust estates held for them and the income shall be paid and the principal distributed as a part thereof. (d)Should my said wife,WILMA L.BAKER,predecease me,then and in that event I give,devise and bequeath unto my said Trustees a ONE- FIFTH (1/5)PART of my residuary estate IN TRUST for the use of GARRATT LeVAN, and the income shall be paid and the principal distributed in the same manner as above provided for him in Sub-Section (c)of this paragraph and this provision shall be in lieu thereof. (e)The remaining ONE-HALF (1/2)PART of my residuary estate, and in the event my said wife should predecease me,then a FOUR-FIFTHS (4/5) PART of the net residuary estate,I give,devise and bequeath unto ~said Trustees to be held by them IN TRUST as follows: (1)An equal ONE-FOURTH (1/4)PART thereof shall be held for my daughter,ANNE BAKER WEIMER,and the net income therefrom shall be paid unto her in monthly or other convenient payments during her lifetime, and,upon her death,the then principal,together with any income accrued or accumulated thereon and remaining unpaid to her,shall be divided in equal shares to and among my three grandchildren hereinafter named and shall be added to the trust estates hereinafter created for them and the income shall be paid and the principal distributed as a part thereof. Due to the fact that ample provision for my said daughter has been made by other relatives of hers,includL~her mother and myself,it has seemed to me advisable to make provision for her herein upon the same basis as made for my three grandchildren. -4- ~--.---------..----------. (2)An equal ONE-FOURTH (1/4)PART shall be held in trust for my granddaughter,AMY A1~NE mMER,an equal ONE-FOURTH (1/4)PART for my granddaughter,JULIA V.WEIMER,and an equal ONE-FOURTH (1/4)PART for my grandson,WP~TFJR B.WEIMER,and during their respective minorities as much of the net income as the Trustees in their discretion may deem necessary may be used for their maintenance,support,and education.During such minority any excess income over and above their reasonable needs may be accumulated and invested by the Trustees until they shall have respectively attained their majority,at which time the entire net income shall be paid unto them. (3)As and when each of the said grandchildren shall have attained the age of forty-five (45)years,the Trustees shall distribute to him or her a ONE-FOURTH (1/4)PART of the principal of their respective share and a further ONE-FOURTH (1/4)PART thereof as and when they shall have respectively attained the age of fifty-five (55)years.Thereafter the income on the remaining portion of their principal share shall be paid to them for life. (1+)Upon the death of any of my said grandchildren,that portion of his or her principal share then remaining in trust,together with any income accrued or accumulated and remaining undistributed,shall be divided per stirpes into as many shares as there are issue him or her sur- viving and each share shall be held and administered as a separate trust until the surviving issue attain the age of twenty-one (21)years respectively when the principal shall be distributed to them.Should any of such surviving issue die before having attained the age of twenty-one (21)years,the share of such one or ones shall go per stirpes to increase the shares of the other surviving issue then living,and so on from time to time as often as a death occurs. - 5 - • ••• (5)Should any of my said grandchildren die without leaving issue to survive him or her or,if leaving issue to survive,all of such should die before attaining the age of twenty-one (21)years,the undistributed principal of such one or ones shall be divided equally to and v among the trust estates of the other two grandchildren and the issue per stirpes of either of them then deceased and shall be held,administered,and distributed in accordance with the provisions hereinbefore made for them. (f)If at any time or times,and from time to time the Trustees in their sole discretion deem it necessary or advisable to use any part or parts of the principal shares herein provided for my wife,my daughter,and for my three grandchildren for their maintenance,support,education,comfort and welfare,the Trustees are herewith authorized so to do and they shall give a liberal construction to this direction inasmuch as their comfort and wel- fare are of primary consideration to me.The income,and principal if found to be needed,of the share or shares of any minor beneficiaries takip~ hereunder may be expended during their minority by the Trustees in their discretion for the purposes above enumerated,or may be paid unto the parent or parents haVing the custody of such one or ones and without the intervention of a guardian or reference to the Orphans'Court having jurisdiction. (g)During the continuance of the trusts herein created,the principal sum or sums of the trust funds and the income thereof shall not be subject to or liable for any contracts,debts,engagements,liabilities or torts of the beneficiaries respectively now or hereafter made,contracted, incurred or committed,but shall be absolutely free from the same,Bnd the beneficiaries respectively shall have no power to sell,assign or encumber all or any part of the principal sum or sums of the trust funds or their interests therein respectively or the income thereof,or to anticipate said income. - 6 - ••• SEVENTH:I nominate,constitute and appoint EDWARD L.STOCKDALE,of Mt.Lebanon Township,Allegheny County,Pennsylvania,and THE UNION NATIONAL BANK OF ?ITTSBURGH,a corporation,and their successors,to be the -ecutors of this my Last Will and Testament and to be the Trustees hereunder,and I give to my Executors in the settlement of my estate and to my Trustees after my estate has been settled,the following pouers any or all of which may be exercised as Exe~ltors or as Trustees if found to be necessary or advisable:- (1)To take over and retain unconverted so long as they may see fit each and ever!i tern of real and personal property of which I may be possessed without liability for depreciation in the value thereof,and in their discretion to sel or otherwise dispose of all or any of the same,or any securities or property into which they may be converted as hereinafter provided at public or private sales to such person or persons for such price or prices and upon such terms and conditions as they shall deem roper.In case of any sale or other disposition,or any liquidation of any securities or property at any time held hereunder,the Tr~stees shall from time to time invest and reinvest the roceeds in such stocks,bonds,notes,mortgages or other securities as they shall deem to be safe'and wise investments,and they shall not be confined nor restricted to such investments as have been ~ade legal fa fiduciaries under the laws of the Common,ealth of Penns,ylvania. For the guidance of my Trustees in the management of this trust estate,I herewith express the desire that not more than a ONE-FIFTH (1/5) PART of my interest in the UNIVERSAL-CYCLOPS STEEL CORPORATION as represented b the common capital stock held hereunder be sold solely for the pur ose of diversification of investments.As and when it might seem advisable,desirable - 7 - ••• or necessary to my Trustees to sell any part or all of the remsinins FOUR- FIFTHS (4/5)PART of the co~~on capital stock of the said Universal-Cyclops Steel Corporation,it is my desire that such proposed sale or sales shall first be discussed with my wife,WILMA L.BAKER,if she survives me,and with my daughter,ANNE BAKER WEIMER,~nd their written consent thereto obtained. The Trustees are authorized and empowered at any time or from time to time in their sole discretion for any purpose to borrow money and for that purpose to pledge or mortgage any of the assets or prope ty then constituting the fund and to execute and deliver any and all notes,bonds, obligations,mortgages,assignments,and other instruments and to perform all acts necessary,proper or convenient in connection therewith,any and all such loans,pledges and mortgages to be made in the sole discretion of my Trustees and for such amounts and upon such terms as they shall deem proper. (2)No purchaser of any securities or property at any time sold or otherwise disposed of by my Trustees shall be under any responsibility or liability t see to the application of any income or principal distributed by them to any person entitled to receive the same under the provisions of this Will.In <.:unnection with the sale or transfer of any securities or property made under the provisions hereof,my Trustees are hereby authorized to execute and deliver all such revocable and irrevocable powers of attorney, bills of sale,assignments,deeds,conveyances and such other instruments as may be necessary or proper in asking such sale or transfers.The certificates for all shares of stock and the title to all real estate which from time to time may be held by the Trustees hereunder may be transferred of record into the names of my Trustees as trustees hereunder,or may be transferred into the -g - •••• name of the nominee of the corporate fiduciary authorized by its Board of Directors to act in such capacity.The voting power upon all shares of stock or other securities at any time held by my Trustees hereunder shall be executed by my Trustees in person or by proxy.If my Trustees shall at any time hold or purchase bonds at a price in excess of par,they shall not be required,except at their option,to amortize that part of the purchase price in excess of par,but all interest received on said bonds may be treated and paid out as income,or at the option of my Trustees any income in their hands may be used at the time of purchase to apply against that part of the cost of said bonds which is in excess of par. (3)The Trustees shall have power to hold and manage any such real estate,make repairs and improvements and make leases thereof to such tenants for such period and upon such terms as my Trustees in their discretion may determine,and no lease by my Trustees for a term of five years or less shall be terminated by reason of the terminaUon of the trust before the expiration of the term of the lease,but,in spite of the termination of the trust,such lease shall remain in fUll force and effect during the term thereof.My Trustees shall have ower to receive end collect rents,interest and other income of said real estate or other trust property,using such legal proceedings as they may deem necessa~for the urpose,and they shall have power at any time to sell,conyey and transfer any or all real estate and other property which they may hold as Trustees,conveying and transferring the same by deed or other in strumen t in viriting in such form and with such covenants as my Trustees may deem best,without the consent of any court and 1'nthout lia.bility on the part of any purchaser to see to the application of the purchase money. - 9 - ••• • The Trustees are authorized and empowered to enter into,consent to or oppose any corporate reorganizations,mergers,consolidations,dissolutions and liquidations of any corporations whose stocks or other securities shall at an time be held by them as part of the trust under the provisions hereof, and to make,consent to or oppose other adjustments of and changes in the ca ital funds or property constituting the trust propert;they may exercise any and all rights of subscription with respect to any stocks,bonds or othe securities included in the rus. (4)The Trustees in making any distribution of principal of the trust fund may make the said distribution in money or in kind or partly in money and partly in kind. EIGHTH:In the event the said EDWARD L.STOCKDALE should predecease me or,S'.lrviving me,be unable to qua ify as Co-Executor and Co-Trustee hereunder due to illness,accident or incapacit to act for any reason whatever,or,having qualified,be unable to perform the duties here ith imposed,then and in that event m said wife,WILMA L.BAKER,if she survives me,and my said daughter,ANNE BAKER WEIMER,shall have the rig!1t to name such individual as his successor as may be suitable to the corporate fiduciary herein named or its successor in office.In the event my said daughter should predecease my said wife or upon the death of my said daughter if she is the survivor of them,then a majority in interest of her issue who are then sui juris may at any time Jr from time to time upon filing their request or election in writing change either or both the individual and the corporate tr.lstee t~en in office.In the event of failure of the beneficiaries to nominate a Successor individual trustee in accordance ,dth the above provisions,then the corporate trustee or its successor shall act as though solely named hereunder.Any successor corporate trustee named -10 - •• • hereunder shall be a trust company or a national bank authorized to do trust business,whether located in Penns-jlva.l'lia or elsewhere,and shall have a capital of not less than $1,000,000.00 and a surplus of not less than $500,000.00.In the event that any change of Trustee or Trustees is made at any time herein provided,the Trustees whose services are discontinued shall effectually transfer or deliver over to their successor or successors all the property held in the trust estate and shall file an accounting of the ad- ministration of the trust in a court of appropriate jurisdiction. &N..TH:No bond or other security shall be required of the individual named as Executor and as Trustee hereunder nor any successor to him selected in accordance \rith the above provisions,and t~e Trustees,both individual and corporate,or any substituted Trustee or Trustees,shall have the r~ght to resign upon giving ninety (90)days'written notice of such intention to all the beneficiaries taking under the provisions of this Will whether minors or adults. ~TH:All the foregoing provisions with respect to the Trustees shall apply whether one or more trustee shall be acting,regardless of whether the language herein contained shall be appropriate to a trustee singular in number or trustees plural in number,and all such provisions shall inure to the benefit not only of the Trustees herein named,but also to all successors in said office.
