ARTICLE VIII:All the residue of my estate,real and personal,I devise and bequeath in the following manner: A.One-fourth (1/4)of said residue shall be distributed to the FIRST BAPTIST CHURCH,Midway,Pennsylvania,to be used in the following manner: 1.Such portion of this share as my brother,WILL M G.DAVIDSON,and my sister,MYRTLE :M.DAVIDSON,may designate shall be used in combination with church funds to erect a suitable steeple on the church. 2.The balance of this share shall be used by the church in whatever manner my said brother and sister in their discretion may direct.A possible use of such share would be the establishment of a memorium to my brother,CYRENIUS DAVIDSON,and/or the payment of a portion of the church mortgage. BOLES,and my brother,WILBERT L.DAVIDSON.If MRS.CORA M.BOLES fails to survive me,the share to which she would have been entitled shall be distributed to her issue,per stirpes,or if she shall have no issue then living, to the survivors of my aforenamed brothers and sisters equally,or if they are all deceased,to the issue of WILBERT L.DAVIDSON,per stirpes.If WILBERT L.DAVIDSON fails to survive me,the share to which he would have been entitled shall be distributed to his issue,per stirpes,or if he shall have no issue then living,to the survivors of my aforenamed brothers and sisters,or if they are all deceased,to the issue of MRS.CORA M.BOLES, per stirpes.In the event all of my aforenamed brothers and sisters and the issue of MRS.CORA M.BOLES and WILBERT L.DAVIDSON fail to survive me,the share of residue to which they would have been entitled shall be distributed to the person or persons who would have been entitled thereto if I had then died intestate,seized and possessed thereof in the Commonwealth of Pennsylvania. ARTICLE IX:I appoint my brothers,WILLIAM G.DAVIDSON and WILBERT L.DAVIDSON,and THE UNION NATIONAL BANK OF PITTSBURGH executors under this will.No executors acting hereunder shall be required to give bond or other security for the faithful performance of their duties.I authorize my executors,and their successor or successors,in their discretion,to exercise the following powers in addition to those given by law: A.To accept,retain and invest in any real or personal property,including stock of The Union National Bank of Pittsburgh,without lrestriction to legal investments. B.To sell,exchange,partition or lease for any period of time any real or personal property and to give options therefor for cash or Icredit,with or without security. -4- C.To borrow money from any person including any fiduciary acting hereunder,and to mortgage or pledge any real or personal property. D.To compromise,arbitrate or abandon claims. E.To make distribution in cash or in kind or partly in ea h. F.To make such elections,decisions,concessions and settlements in connection with all income,estate,inheritance,gift or other tax returns and the payment of such taxes,without obligation to adjust the distributive share of income or principal of any person thereby affected. G.To transfer or record stock certificates or other securities into the name or names of the fiduciary,fiduciaries or nominee. ARTICLE X:All estate taxes,inheritance taxes,transfer taxes and other taxes of a similar nature payable by reason of my death to any govern- ment or subdivision thereof upon or with respect to any property subject to any such tax shall be paid by my executorsout of the principal of that portion of my estate disposed of by Article vm and all interest with respect to any such taxes shall be paid by my executors out of the income or principal or partly out of the income and partly out of the principal of such portion of my estate,in the absolute discretion of my executors,without reimbursement from or apportionment among the beneficiaries,recipients or owners of such property for any such taxes or interest. ARTICLE XI:If any minor shall be entitled to receive any property by reason of my death,whether under this will or by the terms of any insuran I e contract or otherwise,I appoint THE UNION NATIONAL BANK OF PITTSBURGH,Guardian of the E state of said minor as to such property, giving and granting to such Guardian,in addition to and not in limitation of all powers conferred by law,the following specific powers,to be exercised in its sole discretion and without order of court;to retain in kind any such property,real or personal,received by it from any source;to sell any such -5- property upon such terms and conditions as it shall believe advisable,giving good title to any real estate thus sold;to invest and reinvest in such stocks, bonds and other investments as it shall deem advisable,without being limite d to those investments in which guardians are by law required to invest a minor' funds;and to disburse to or for the benefit of such minor so much of the incom from and principal of the minor's said property as it deems advisable for the minor's health,maintenance,support and complete education,including preparatory,college and postgraduate orJrofessional training.Distribution of each such minor's share shall be made upon his or her attaining the age of twenty-one (21)years.
