I,FRANK DiCIO,of the Borough of Canonsburg,County of
Washington,and Commonwealth of Pennsylvania,do make this my
Last Will and Testament,hereby revoking all Wills heretofore
made by me.
FIRST:I direct my Executors to pay all of my just debts
and the expenses of my funeral as soon after my death as may be
convenient.
I direct that all inheritance,succession,and
estate taxes assessed because of my death,whether the property
or funds to which such taxes are attributable pass under this my
Will or not,be borne by the principal of my residuary estate and
that my Executors payor provide for the payment of such taxes at
such time or times and in such manner as my Executors deem to be
convenient.
SECOND:I give and bequeath all of my tangible personal
belongings to my wife,JOAN DiCIO,or,in the event of her
death before my death,to my surviving children in shares con-
sidered by my Executors to be approximately equal in value.
THIRD:I direct my Executors to pay in full any balance
existing at the time of my death on any bond secured by a mortgage
on my residence at No.333 Hawthorne Street,Canonsburg,Pennsyl-
vania,and one-half (1/2)of the amount of any balance eXisting
at the time of my death on any bond secured by a mortgage on my
property at No.4212 Knight Avenue,Tampa,Florida.
FOURTH:I give,bequeath,and devise all the residue of
my property and estate,personal and real,to the Trustees under
my agreement with FIDELITY TRU~COMPANY,of Pittsburgh,Pennsyl-
vania,dated the ~S-day of e:;t~~,A.D.19~~
providing for the disposition of the proceeds of policies of
insurance on my life payable to it.The property here given to
the Trustees shall become a part of and enlarge the corpus of
the trust established by the said agreement.
The operation of this clause of my Will shall not
be affected by subsequent revocation of the said agreement.The
said agreement,as it may have last been amended,shall remain in
effect for the purpose of expressing the trusts imposed upon my
residuary estate and of defining the duties,powers,authority,
and immunity of the Trustees.
FIFTH:I authorize my brother,MARIO DiCIO,one of the
of the purchase monies.
Executors of this my Will,to continue the business known as
DiCio Motor Company,Canonsburg,Pennsylvania,in which I have an
interest,for such period as he may deem proper with power to
borrow money and pledge the assets of the business,and with
power to do all other acts that I in my lifetime could have done
or to delegate such powers to any partner,manager,or employee
without liability for any loss occurring therein.
I authorize my Executors to make public or
private sale of my interest in said business at such time or
times,and for such price or prices,and upon such terms as to
cash and credit,with or without security for the purchase price,I
as to my brother,MARIO DiCIO,may seem best,and to execute all
nec~ssary assignments or conveyances to the purchasers without
liability on the part of the purchasers to see to the application

My brother,MARIO DiCIO,one of the Executors of
this my Will,shall have unrestricted authority to make all

decisions relating to the management,operation,or sale of my
interest in said business,and my corporate Executor shall be
fully protected and shall incur no liability as a result of any
action taken in pursuance of such authority.
SIXTH:I give to my Executors,in addition to the powers
conferred by law,the following discretionary powers and authori~
which may be exercised without application to any court,and I
direct that no person with whom my Executors may deal shall be
required to inquire into the necessity or propriety of any of
their acts or to see to the application of any money paid to them.
(a)To retain as a part of my estate any stocks,
bonds,or other items of property belonging to me at my death,
including stock of Fidelity Trust Company itself,and to transfer
the property so retained to my Trustees in kind.
(b)Subject to the provisions of the preceding articl
designated Fifth,to sell and dispose of any property,real or
personal,which I own at my death,at such price and upon such
terms as they may deem proper,and to execute proper deeds.How-
ever,no real estate may be sold over the objection of my brother
Mario DiCio,one of the Executors of this my Will.
(c)To grant leases for any term or terms with or
without options for renewal or purchase.
(d)To compromise and settle any differences and
claims arising in the administration of my estate,whether such
claims be made by my Executors against other persons or by other
persons against my estate.
SEVENTH:I appoint FIDELITY TRUST COMPANY,of Pittsburgh,
Pennsylvania,Guardian of the estates of my children during
their respective minorities.

EIGHTH:I appoint my brother,MARIO DiCIO,and FIDELITY
A.D.19~
TRUST COMPANY,of Pittsburgh,Pennsylvania,Executors of this
my Last Will and Testament.
In the event of the failure of my brother to
qualify,or of his renunciation,resignation,disability,or
death,I appoint JAMES C.BANE to serve in his stead.
