properties which shall come into the hands of my said Trustees
either as a part or all of my general residuary estate,or which
may be purchased by my said Trustees out of trust funds available
for such purpose and in addition to any other powers which they
may possess and not by way of limitation of such powers,my said

are hereby authorized,in the discharge of their duties,to employ
counsel and agents and to determine and pay to them reasonable

therefore and for such other expenses and charges as it shall be
prmper and necessary to incur in the management of my estate

partnership it shall be provided that said co-partnership be con-
tinued after my decease,I hereby authorize and direct that my
Executors,hereinafter named,and my Trustees,hereinbefore named
shall,in all and every necessary and useful manner and respect,
cooperate with the survivor of such co~partnership in continuing
and carrying on the business thereot until the full end and term
provided by such Articles agreeable to the provisions and to the
terms specified and continued therein;and I specifically
authorize and empower my said Executors and Trustees,either be-
fore or after the expiration of such co-partnership,to sell to
my surviving partner,either for cash or upon credit,and at such
price as they shall deem suitable and satisfactory,all my
interest in such co-partnership and in the assets,business.

decease and continue until she receives the income,as hereinbe-
fore provided,from my trust estate.Said payments shall not be

FOURTEENTH:I her_eby authorize and empower my

and dispose of all or any of the real estate of Which I
may die seized or possessed,or to which I may be entitled at the
time of my decease,at public or private sale,at such time or
times and on such terms and conditions as the may deem meet and

ings,deeds of conveyance and transfers therefor,as may be re-
quired or necessary to pass title thereto to the purchaser,with-
out the purchaser being required to see to the application of the
purohase money.This shall be a continuing power and may be

I,WILLIAM H.CALVERT,the within named Testator,do hereby make,
publish and declare this Fourth Codicil to my Last Will and Testament,
bearing date October 28th,1935,in manner and form following:
Due to the long,pleasant and satisfactory joint management of
the business now incorporated under the name of Coca Cola Bottling Company
of Charleroi,Pennsylvania,between myself and Samuel A.Swearingen,it is
my desire and wish that the operation of this company will be continued under
the management of Samuel A.Swearingen,and I therefore instruct,order,
direct and empower my said executors and trustees not to distribute my stock
in the Coca Cola Bottling Company of Charleroi,Pennsylvania to and among
my legatees,but in lieu thereof,instruct,order and direct that the said
stock shall be held in trust during the term of the trust created in my will,
and I further instruct,order,direct and empower my said executors and
trustees to co-operate with Samuel A.Swearingen in carrying out the above
request.
Provided,nevertheless,that if Samuel A.Swearingen shall name
a price at which he is willing either to buy the stock owned by my estate or
to sell to my estate the stock which he owns,then I authorize,empower and
direct my trustees and executors to either buy the said stock of Samuel A.
Swearingen or sell my said stock to Samuel A.Swearingen.Provided,further,
that my said trustees shall have the right,option and privilege,in the
event of the death of Samuel A.Swearingen to deal with the executors,
administrators or trustees of his estate,in the same manner as hereinbefore
authorized to deal with Samuel A.Swearingen during his lifetime."
