I,WILLIAM WARDELL HEATHCOTE,of the Borough of McDonald;County of
Washington and state of Pennsylvania,being of sound mind and memory do
hereby make,publish and declare this to be my Last Will and Testament hereby
revoking'all other or former Wills or Codicils by me at any time made.
IFIRST:I order and direct the payment of all my ~ust debts and
funeral expenses as soon as practicable after my decease.
SECOND:I give and bequeath to my son,FRED W.HEATHCOTE,all my
stock holdings in the South Penn Oil Company and the McDonald Savings and
Trust Company of McDonald,Pennsylvania.

I also give and bequeath to my
THIRD:I give and bequeath to my son FRED W.HEATHCOTE,all my right,
title and interest to any Oil or Gas Lease,Leases or enterprise.
FOURTH:I give,devise and bequeath all the rest,residue and re-
./mainder of my property and estate,real,personal and mixed,wheresoever
situate,of which I may die seized or possessed,or o~r which I may have
testamentary control,or to which I may be in any way entitled,of whatsoever

FIFTH:In the event that my Son,FRED W.HEATHCOTE,predecease me or.should we die at or about the Same time by reason of an accident,disaster
or other calamity,I give,devise and bequeath all the rest,residue and
