Sworn and Subscribed Before Me LAST WILL AND TESTAMENT I,ALEX B.GHIEST,of Washington,Washington County,Pennsylvani , being of sound mind,memory and understanding,do make,publish and declare this my Last Will and Testament,hereby revoking all former Wills b me at any time heretofore made. 1.I order and direct the payment of all my just debts and funeral expenses as soon as conveniently may be after my decease. 2.I give,devise and bequeath to my sister,Bessie M.Griest,my home real estate at 35 East Hallam Avenue,Washington,Pennsylvania,to- gether with all furniture and household furnishings situate therein. 3.I give and bequeath to my Executors hereinafter named my shares of capital stock in Alex B.Griest,Inc.,a Pennsylvania Corporation,and in addition to the powers vested in my Executors by other provisions of this Will or by law,I authorize my Executors: A.To retain any or all of such shares for such length of time as the may deem expedient but not to exceed five (5)years from the date of my death; B.To vote such shares in whatever way they think best; C.To sell any or all of such shares at such time or times,for such prices,to such persons,and upon such terms as they may think proper and of advantage to my estate; D.To do anything that they may think advisable with respect to the reorganization,merger,or liquidation of Alex B.Griest,Inc. E.In general,to deal with any or all such shares with the same freedom of action that I would have if living. 4.Except for the home real estate,furniture and household furnishings provided for in Paragraph 2 herein and my stock in Alex B.Griest,Inc. provided for in Paragraph 3 herein,I authorize my Executors to sell all the rest,residue and remainder of my estate as soon as my Executors in their sole and absolute discretion may deem advisable and for the best interest of m estate and to make distribution thereof to my brother,Samuel H.Griest,my -1- nephew,Samuel H.Griest,Jr.,and my nephew,Alex D.Griest,in equal shares. 5.The proceeds received by my Executors from the sale of all or any part of my stock in Alex B.Griest,Inc.,shall be considered part of the residue of my estate and be distributed as provided in Paragraph 4 herein. 6.I direct my Executors to payout of the principal of my residuary estate all Federal Estate,State Inheritance,Estate and Succession Taxes imposed upon or with respect to my estate or any property in which I may hav an interest,including any property not forming a part of my testamentary estate,but included in my gross estate for tax purposes,at such times and in such manner as my Executors in their sole discretion shall deem advisable, and no such taxes or any portion thereof so paid shall be collected from or paid by any other person,persons,or corporations by way of reimbursement, proration,apportionment or otherwise. 7.In addition to the right granted to my Executors to retain stock in Alex B.Griest,Inc.as aforesaid,I authorize my Executors to retain any oth r stocks or any investments whatsoever during such period of time as they deem advisable and for the best interest of my estate. 8.I name and appoint my nephew,Samuel n.Griest,Jr.,and my Attorney,Jay W.Troutman,as Executors of this my Last Will and Testament IN WITNESS WHEHEOF,I have hereunto set my hand and seal this '-3 day of January,1975. ---~atu;...,....:--_.~~B~'__p~~.......::::~=\~:t::~,>---_(SEAL) Alex B.Griest.
