(I)To appoint Attorneys-in-fact,and to authorize them to execute on behalf of the Company,and attach the·Seal of the Company thcreto,
bonds and undertakings,recognizances,contracts ofindemnity and other writings obligatory in the nature thereof,and
(2)To appoint Special Attorneys-in-fact,who are hereby authorized to certify to copies of any power-{)f-attorney issued in pursuance of this
section and/or any of the By-Laws of the Company,and
(3)To remove,at any time,any such Attorney-in-fact or Special Attorney-in-fact and revoke the authority given him."
Further,this Power of Attorney is signed and sealed by facsimile pursuant to resolution of the Board of Directors of said Company adopted at a
meeting duly called and held on the 6th day of May,1959,of which the following is a true excerpt:
"Now therefore the signatures of such officers and the seal of the Company may be affixed to any such power of attorney or any certificate
relating thereto by facsimile.and any such power of attorney or certificate bearing such facsimile signatures or facsimile seal shall be valid and binding
upon the Company and any such power so executed and certified by facsimile signatures and facsimile seal shall be valid and binding upon the Company

I,HELEN E.FARRAR,of South Strabane Township,
Washington County,Pennsylvania,being of sound mind and
memory,do hereby make,publish and declare this,my Last
Will and Testament,hereby revoking any and all former Wills
or Testamentary Writings heretofore made by me.
FIRST:I direct that my executor
pay all my just debts and funeral expenses as soon as
conveniently may be after my death.
SECOND:I nominate,constitute
and appoint Lawrence R.Zewe as executor of this,my Last
Will and Testament.In the event that,for any reason,my
aforesaid executor should fail to assume or continue in his
office as executor,then I nominate,constitute and appoint
Alvin G.Leavitt as executor,to serve in his place or stead.
I direct that no bond shall be required of either of my
said appointees named in this paragraph.
THIRD:I give and bequeath my
jewelry and the automobile which I own at the time of my
death to Veronica S.Motte.
FOURTH:I direct that all of my
personal effects,clothing and furniture be disposed of
by my executor as he sees fit to so do.
FIFTH:I give and bequeath ten
per cent (10%)of my estate to my aunt,Ferna Kuhn,presently
of Washington County.I direct that this bequest shall be
made to Ferna Kuhn only,and that,if she does not survive
me,this bequest shall lapse and pass into the residue of
my estate.
SIXTH:I give and bequeath to
Veronica S.Motte ten per cent (10%)of my estate,with
the provision that,if she fails to survive me,that this
bequest pass on,per stirpes,to her children,equally.
SEVENTH:I give and bequeath five
per cent (5%)of my estate to each of the following
beneficiaries:Genevieve Kelly,Mary Consolmagno,Dorotha
Wells,Mr.and Mrs.Joseph Kophazi,Mr.and Mrs.Raymond
DeMann,Mr.and Mrs.Peter Longstreth.
EIGHTH:I give and bequeath to
Lawrence R.Zewe ten per cent (10%)of my estate.
NINTH:I give and bequeath
five per cent (5%)of my estate to Mr.and Mrs.Arnold
McComis,presently of Washington,Pennsylvania,jointly,
or to the survivor of them then living.This amount
shall be used to provide for the maintenance of any pet
of mine which they may have in their care,or,if they
should not be then caring for any of my pets,it shall
be theirs absolutely.
TENTH:All of the rest,remainder
and residue of my estate I give and bequeath to a chari-
table foundation to be established hereunder and to be
known as the John C.and Helen E.Farrar Charitable Founda-
tion.I direct that the initial trustees of the foundation
herein created shall be Dr.J.T.Herron,Mr.Arnold McComis
and Lawrence R.Zewe,my attorney.It is my wish that my
trustees use certain funds from the income of the foundation,
as they allocate in their sole discretion,to hereby
in her presence and in the presence of each other have
hereunto subscribed our names as witnesses to the Last
Will and Testament,this ;;;JJ'-t day of November,in the year
one thousand nine hundred seventy-seven.

make annual contributions to the Washington County Tubercu-
losis and Health Association,the Washington-Greene County
Branch,Pennsylvania Association for the Blind,with the
stipulation that the bequests or donations from the founda-
tion to the Pennsylvania Association for the Blind be used
for the expansion of services only,for the use of the
visually handicapped,to the Quota Club,to be used spe-
cifically for their service programs,to the Humane Society,
only for the expansion of their facilities,and to Mercy
Hospital,to be used only for its purchase of treatment
equipment.It is my desire that each of the foregoing
charities receive a bequest no less than annually from the
income of the foundation created herein.The trustees of the
foundation are authorized by the terms of this bequest to
make other contributions to various charities which are
consistent with my charitable intents and purposes.It is
my wish that the principal of this bequest,through the
foundation be kept intact as long as possible so that the
trust may be operated perpetually,although my said trustees
do have the power to invade the principal of the trust in
such cases as they deem necessary or consistent with my own
charitable intents.
