I,SYLVIA S.FEINBERG,of Washington County,Pennsylvania,
declare this my last will,hereby revoking all prior wills.
FIRST:A.I give all my tangible personal property,together
with any existing insurance thereon,to my husband,EDWARD FEINBERG,
or if he fails to survive me,to my daughter,SUSAN LEA FEINBERG,if
she is then living.
B.I give and devise all my real estate which
I may own at the time of my death,to my husband,EDWARD FEINBERG,or
if he fails to survive me,to my daughter,SUSAN LEA FEINBERG,if she
is then living.
SECOND:I give the residue of my estate to my daughter,
SUSAN LEA FEINBERG,or if she fails to survive me,to my husband,EDWARD
FEINBERG,or if he is not then living,I give the residue of my estate
as follows:
1.The sum of one thousand dollars to each of the following
named charities,to be used for their general purposes.
AMERICAN CANCER SOCIETY
WESTERN PENNSYLVANIA HEART ASSOCIATION
UNITED JEWISH APPEAL
NATIONAL JEWISH HOSPITAL,at Denver
LEO N.LEVI MEMORIAL HOSPITAL,
at Hot Springs,Arkansas

2.The sum of two thousand dollars to the HEBREW REHABILITATION
CENTER FOR THE AGED,at Boston,Massachusetts,for the purpose of Kaddish
Services and Memorial Services for my beloved husband,my beloved daughter
and myself.
3.The sum of ten thousand dollars to each of the following
named persons who are then living,absolutely and free of trust.
CHERYL GAIL SANDLER,presently of Roxbury,Mass.
PEARL MacKENZIE,presently of New York,New York
DONALD FEINBERG,presently of Charleroi,Pennsylvania
LESLIE FEINBERG,presently of Charleroi,Pennsylvania

DEBORAH GABOR,presently of Bloomington,Indiana

4.The balance thereof to my husband's brother,BERNARD
FEINBERG and sister,ESTHER GABOR,in equal shares,or if either is
then deceased to his or her issue,per stirpes.
THIRD:In addition to the powers conferred by law,my execu-
tor shall have the discretionary power to retain for distribution in
kind,without duty of diversification,all property owned by me at my

death,including stock in PITTSBURGH NATIONAL CORPORATION,or to sell
all or any part of such property,upon such terms as my executor shall
deem advisable;to hold any proceeds and other cash uninvested or to
invest in all forms of property;to exchange or lease for any period
of time any real or personal property and to give options for sales,
exchanges and leases;to exercise all rights of security holders;to
compromise any claim or controversy without court approval;to borrow
money from any source,including my corporate fiduciary;to delegate
discretionary powers;and to make distributions in cash or in kind at
current values,in undivided interests or non-pro rata shares.
FOURTH:All estate,inheritance,and succession taxes,in-
cluding interest and penalties,payable with respect to all property
included in my gross estate except any property over which I have a
taxable power of appointment,shall be paid from the principal of my
residuary estate,at such times and in such manner as my executor shall
deem advisable,without apportionment or right of reimbursement.
FIFTH:I appoint my husband,EDWARD FEINBERG,as executor
of this will.If my husband should fail to qualify or cease to act,
I appoint my daughter,SUSAN LEA FEINBERG and my husband's brother,
BERNARD FEINBERG,as executors.
My individual fiduciary shall be entitled to such
additional compensation as may be commensurate with his services,and
shall not be required to post bond in any jurisdiction.

SIXTH:I appoint PITTSBURGH NATIONAL BANK guardian of any
property,whether principal or income,which vests in a minor by reason
of my death and with respect to which I am authorized to appoint a guar-
dian,to hold and manage until such minor attains his or her majority,
with all powers heretofore granted in this will or by law,and authority
to use both income and principal for the minor's comfortable support
and complete education.Payments may be made to the person having cus-
tody of the minor,without liability on the part of PITTSBURGH NATIONAL
BANK to see to the application of said payments by the payee.
