hereby renounce their rightAto administer on his estate;and
respectfully ask that Letters Testamentary be issued to
Ethel Herron Hayes,who was also named by said decedent in
his said Last Will and Testament as the other Executor and
Trustee of his said Last Will and Testament.

I,JOSEPH A.HERRON,of Monongahela,Washington County,
Pennsylvania,do hereby make,pUblish and declare this to be my
Last Will and Testament,hereby revoking any and all wills by
me at any time heretofore made.
FIRST:I give,devise and bequeath all ~property,
real,personal and mixed,wheresoever situate,unto my son,

1st -To pay to my wife,MARY C.HERRON,for
and during her lifetime,the entire net income derived
fram my said estate;and in addition thereto,-for the
purpose of enabling my wife to c cntinua our home the
same as it has been maintained in the past - I direct that
JOHN S.C.HERRON,and my daughters,ETHEL HERRON HAYS and
GERTRUDE HERRON,in trust,however,for the following uses and
II purposes :

during her lifetime she shall have the use of the dwell-
ing and premises which we now occupy,also the furniture,
pictures,books,plate and all other household furnimre
therein contained,together with the automobiles;the
taxes,inSurance and repairs thereon to be pai.d out of
the income of my estate.Upon the death of my wife,I
give,devise and bequeath,absolutely,unto my daughter,
GERTRUDE HERRON,the said furniture,pictures,bookS,
plate and all other household furniture hereinabove
referred,to.
2nd -Upon 'the death of my wife,I direct
my Executors and Trustees to pay and distribute unto
my sons,D.C.HERRON,WILLIAM A.HERRON,JOSEPH A.
HERRON,JR.,DONALD J.HERRON and JOHN S.C.HERRON,
and my daughters,ETHEL HERRON HAYS and GERTRUDE HERRON,
each One-seventh (1/7)o~my estate (excepting the
household furniture and other articles hereinabove

specifically bequeathed to my daughter,Gertrude
Herron),such p~ment and distribution to be made
in kind;and I hereby direct my Executors and
Trustees to prepare a list or schedule of all of my
estate to be distributed under the provisions here-
of,and place a valuation thereon,and,as near as
may be,each of my said children shall select or
take his or her pro rata share out of each class of
securities and property;and if there be any part of
my estate remaining after an equal distribution to my
children in kind,then the part remaining shall be
sold at public or private sale by my Executors and
Trustees,and the amount received divided equally among
my seven children.In the event of the death of any of
my children prior to the death of my wife,leaving a
child or children surviving,then I order and direct
that the JB.rt or share of the one so dying shall be
paid and distributed to his or her children.
It is my purpose and intention that each
of my seven children named above shall share equally
in my said estate (excepting the household furniture
and other articles hereinabove left to my daughter,
GertrUde Herron);and if,-in order to accomplish
such equal distribution -my seven children shall
unanimously agree upon some other plan than that here-
inabove set forth,then my Executors and Trustees are
directed to carry into effect such plan as may be
unanimously adopted by my said children.
3rd - I he reby authorize and empower my
Executors and Trustees hereinafter named to hold in
kind all of my said estate,with the pONer at any
time in their discretion to convert or exchange .any
of my property whatso'everj to invest and reinvest the

proceeds thereof in suoh securities or properties as,
in their jUdgment,would be beneficial and for the
best interests of my estate without being limited to
what are known as l:egal investments under the laws of
Pennsylvania;to oontinue,in their disoretion,for a
period not exoeeding the time of distribution of my
estate~any or all business inwhioh I may be engaged
at the time of my deoease;to oontinue,in their dis-
oretion,for a period not exoeeding the time of dis-
tribution of my estate;the business of suoh partner-
ships of whioh I may be a member at the time of my
death as,in their jUdgment,will be for the best
interests of my estate,upon suoh terms and oonditions
as may be agreed upon between them and my respeotive
assooiates in said partnerships;or,in their disore-
tion~to permit any of said partnerships to be dissolved
by reason of my death,and the affairs of said partner-
ship to be wound up in aooordanoe With law.I further
authorize and emp~ver my Exeoutors and Trustees,in
their discretion,t.o purohase the interests of my
assooiates in suoh partnerships or business,and to
oarry on suoh business for a period not exoeeding the
time of distribution of my estate.
The provisions of this paragraph with
relation to partnerships shall be oonstrued to be in
addition to and not in limitation of rights,if any,
oonferred upon my Exeoutors and Trustees under the
terms of any of my p3.rtnership agreelllents,whioh rights
may be exeroised by my Execut ors and Trustees in con-
formity with said partnership agreements.
4th - I hereby authorize and empower my
Exeout ors and Trustees to join with my associates in
II any partnership,or with the stockhol'oors in any corp-

oration in which I may be i.i:tterested at the time of
my death~in the re-organizat ion of any such corpom-
tion or partnership which shall appear to my Execut ors
and Trustees to be in the interests of my estate;and
wherever the same may be done,it is my request that
my son,JOHN S.C.HERRON,one of my Executors and.
Trustees,shall be named as a Director,or otherwise
named to succeed me on the Board of any such corpora-
tion or in the management of any such partnership.
5th - I hereby authorize and empower my
said Executors and Trustees,in their discretion,to
make sale of any or all of my real estate (provided
that no sale of my dwelling and premises h·ereimbove
referre d to shall be made during the lifetime of my
said wife Without her consent)without order of court,
and to make.execute and deliver to the purchasers
thereof,good and sufficient deed or deeds for the same.
I furthe r authorize and empower my said Executors and
Trustees,in the management and conduct of my said
estate,to purchase,wherever necessary,other real
estate or interests therein,and to enlarge and make
improvements upon any real estate which I may own or
be interested in with others at the time of my death.

SECOND:I di~ect that all Federal and State Inheritame I
Taxes shall be paid out of my estate by my Executors and
Trustees,including,particularly,such taxes as may be imposed
upon or assessed against the life estate herein bequeathed to
my wife.MARY C.HERRON.
THIRD:I hereby name.cranstitute and appoint my son,
JCHN S.C.HERRON,and my daughters,ETHEL HERRON HAYS and
GERTRUDE HERRON t Executors and Trustees of this my Last Will and
Testament -they.however,to serve Without compensations or

commissions -hereby conferring upon them,as such,fUll and
ample power and authority to carry into effect my wishes and
will as hereinabove set forth,whether such power and authority
be expressly given hereinbefore or not.
