LAST WILL AND TESTAMENT
OF
HELEN N.FRYE
I,HELEN N.FRYE presently of Shippenville,
Pennsylvania,do hereby make,publish and declare this
my Last will and Testament,and revoke any and all Wills
and Codicils by me at any time heretofore made.
FIRST:I direct that the expenses of my last
illness and funeral and burial be paid out of my Estate
as soon as may be convenient after my death.
SECOND:All the rest,residue and remainder
of my Estate,real and personal and wherever situate,I
give,devise and bequeath,share and share alike,unto my
sons,JAMES C.FRYE and RANDALL D.FRYE,the issue of any
son who has predeceased me to take,per stirpes,the share
of such deceased son.
THIRD:In the administration of my Estate,my
personal representative shall have,in addition to,and not
in limitation of such authority given to such personal repre-
sentative by law and without the necessity of obtaining the
consent of any court,the following powers:to retain any or
all of the assets of my Estate,real or personal,without regard
to diversification or risk;to invest and reinvest in any kind
or property,real or personal,or part interest therein,without
being restricted to investments which are legal for fidDciaries,
but without any affirmative duty of investment;to give options
for sales,leases,and exchanges;to borrow money;to sell,pledge,
exchange or mortgage any real or personal property;to compromise
claims;to lease real or personal property for any term;to join
in or oppose the merger,consolidation,reorganization or readjust-
ment of the financial structure of any firm or corporation in which
the Estate may have an interest;to carry securities in the name
of a nominee;and to distribute my Estate in cash or in kind or
partly in cash or partly in kind.

FOURTH:I nominate,constitLte and appoint my
son,JAMES C.FRYE Executor of this my Last Will and Testament;
PROVIDED,however,that if he shall fail to qualify or cease
to act as such,then and in such case,I nominate,constitute
and appoint my son,RANDALL D.FRYE to be Executor hereof.
I direct that no bond shall be required of either of my said
sons in any jurisdiction.
IN WITNESS WHEREOF,I have hereunto set my hand
and seal this

HELEN N.FRYE the Testatrix above named,as and for her
Last Will and Testament in the presence of us,who at her
request,in her presence and in the presence of each other,
