ARTICLE ONE I give all my household goods,furniture,furnishings, books,pictures,silver,chinaware,jewelry,automobiles,personal effects and all my other tangible personal property,and any insurance thereon,to my wife,ANNA MAE FOX,if she survives me by thirty (30)days.If my wife does not so survive me,I give all such property to those of my sons,Jill~ES CONRAD FOX,WILLIAM DAVID FOX,ROBERT STANLEY FOX and THOMAS MILTON FOX,who survive my wife and me in such approximately equal shares as my sons may agree upon,or,if they are unable to agree,in such approxi- mately equal shares as my Executor shall determine,having given due regard to the wishes of my sons.~Any such property not so distributed shall be added to my residuary estate. ARTICLE TWO I direct that there shall be paid from and charged exclusively to the principal of my estate remaining after pro- viding for the foregoing bequests all inheritance,succession and estate taxes,together with any interest or penalties thereon, imposed upon or payable with respect to any property which may be included as a part of my estate for the purposes of such taxes, except to the extent the Trustee under my Revocable Trust Agreement, dated S/ to make such payments.My Executor shall not collect or seek reimbursement for any such taxes from any other source.In the discretion of my Executor,taxes on future interests may be prepaid or payment thereof may be postponed until the future interests vest in possession.In the event that my Executor elects to postpone such payment,as aforesaid,anything herein to the contrary notwithstanding,all or any taxes on such future interest shall be paid out of the trust supporting,or subject to,such interest.I direct,however that the foregoing sentence shall not apply to any devise,bequest or transfer qualifying for the marital deduction under Federal Estate tax laws,but that any such devise,bequest or transfer shall not be reduced or affected by any inheritance,succession and estate taxes imposed by reason of my death.I authorize my Executor,in my Executor's sole and absolute discretion,to use administration expenses as deductions for estate tax purposes or income tax purposes and to use date-of-death values or optional values for estate tax purposes, regardless of the effect thereof on the interest of any beneficiary of my estate,and I direct that there shall be no adjustment of such interest by reason of any action taken by my Executor pursuant hereto. ARTICLE THREE I give all the residue of my estate to the Trustee 2. who shall be acting at the time of my death under my Revocable Trust Agreement referred to above,to be administered and dis- tributed by such Trustee ln accordance with the provisions of that Agreement as it may be amended prior to my death.In the event that my Revocable Trust Agreement shall not be in effect at the date of my death,I give all the residue of my estate to the Trustee acting under such Agreement as of the execution of this Will,to be administered and distributed in accordance with the provisions of such Agreement as they then existed with like effect as if those provisions were set forth herein verbatim. ARTICLE FOUR I appoint THE UNION NATIONAL BANK OF PITTSBURGH Executor of this Will and Guardian of any property passing to a minor upon my death otherwise than under the provisions of this Will,with authority,as Guardian,to pay both principal and income to or for the benefit of such minor for his health, maintenance,support and complete education,including preparatory, college and postgraduate or professional training. In the administration of my estate,my Executor shall have the following discretionary powers,in addition to and not in limitation of any authority and powers given an Executor by law,exercisable without court order and until actual distribution: to sell and convey at public or private sale any real estate owned by me upon such terms as my Executor shall deem proper;to operate any business,effect or join in any incorporation,partnership, recapitalization,merger,reorganization or voting trust plan and 3. ------- to delegate authority with respect thereto;to invest in all forms of property,without restrictions to investments authorized for fiduciaries;and to distribute any part of my estate in kind.
