FIRST:I give all my tangible personal property,t gether with any existing insurance thereon,to my wife,MARY C.AMIN.If she does not survive me,I give the same to my surviving children,to be distributed among them as they may agree,or in the absence of such agreement as my executor shall determine,in its sole discretion,making such distribution in as nearly equal shares as possible. SECOND:I give the residue of my estate to PITTSBURGH NATIONAL BANK,as trustee,to hold under the terms of my trust agreement dated December 1,1976,amended January 30,1970,as amended and restated II:cJ.L(Je-vVE'I 9 1),and any amendments thereto or substitution there- for,or if such agreement is not in effect at the time of my death, to hold in trust under the terms specified in such agreement on the date of this will or of its last publication by codicil or otherwise. THIRD:In addition to the powers conferred by law,my execu- trix shall have the following discretionary powers: A.To retain for distribution in kind,without duty of diversification,all property owned by me at my death,including stock in PITTSBURGH NATIONAL CORPORATION,or to sell all or any part of such property,upon such terms as my executrix shall deem advisable; -------------------------------------- to hold any proceeds and other cash uninvested or to invest in all forms of property;to exchange or lease for any period of time any real or personal property and to give options for sales,exchanges and leases; to exercise all rights of security holders;to compromise any claim or controversy without court approval;to borrow money from any source, including my corporate fiduciary;to enter into any transaction herein authorized with the trustee under the trust agreement mentioned above; to delegate discretionary powers;and to make distributions in cash or in kind at current values,in undivided interests or non-pro rata shares. B.To make elections under the tax laws and to select property,without regard to income tax basis,to be sold to satisfy obligations of my estate or to be distributed in kind in satisfaction of pecuniary legacies,without reimbursement or equitable adjustment in the relative interests of the beneficiaries affected thereby and without liability therefor;such actions to be binding and conclusive on all persons. c.To retain in kind and continue or to permit the continuance during the administration of my estate,any business,in- corporated or unincorporated,which I may own or in which I have the controlling interest at the time of my death,so long as such retention and operation is deemed advisable;to act or to select other persons (including any beneficiary hereunder)to act as directors,officers, or other employees of such business and to be compensated therefor; to incorporate any unincorporated business;to borrow from my estate or from any other source,whatever amounts she shall deem advisable -2- to enable her to operate such business in the best interest of my bene- ficiaries;and to sell such business or any business interest to any purchaser and upon such terms and conditions as she shall deem advisable. My executrix shall be without liability for any loss arising from or occasioned by the retention,operation,sale,or liquidation of any business or business interest,and shall be entitled to reasonable and adequate compensation for services rendered in connection with such business in addition to her usual compensation for the administration of my estate. FOURTH:Except as otherwise provided in the trust agree- ment referred to above,all estate,inheritance,and succession taxes, including interest and penalties,payable with respect to property in- cluded in my gross estate except any property over which I have a taxable power of appointment,shall be paid from the principal of my residuary estate,at such times and in such manner as my executrix shall deem advisable,without apportionment or right of reimbursement.In the discretion of my executrix,taxes on future interests may be prepaid or postponed to be paid at such time or times as the trustee thinks proper. FIFTH:I appoint my wife,MARY C.AMIN,as executrix of this will,and she shall not be required to post bond in any jurisdic- tion.If my wife should fail to qualify or cease to act,I appoint PITTSBURGH NATIONAL BANK as executor. My corporate fiduciary shall be entitled to deduct -3- as compensation for its services a fee which shall be determined in accordance with its schedule of charges then in effect. SIXTH:I appoint PITTSBURGH NATIONAL BANK guardian of any property,whether principal or income,which vests in a minor by reason of my death and with respect to which I am authorized to appoint a guard- ian to hold and manage until such minor attains his or her majority, with all powers heretofore granted in this will or by law,and authority to use both income and principal for the minor's comfortable support and complete education.Payments may be made to the person having cus- tody of the minor without liability on the part of PITTSBURGH NATIONAL BANK to see to the application of said payments by the payee.
