HENRY S.ALEXANDER
I,HENRY S.ALEXANDER,of East Mead Township,
Crawford County,Pennsylvania,do make this my Last Will,hereby
revoking all Wills and Codicils heretofore made by me.
FIRST:I direct that all my debts and the expenses of my
funeral be paid by my Executor as soon after my
death as may be convenient.
SECOND:I give the residue of my Estate,real and personal,
to the NORTHWEST PENNSYLVANIA BANK &TRUST COMPANY,
Trustee,in Trust for the following purposes:
A.
DISTRIBUTION OF INCOME FROM TRUST ESTATE
The Trustee shall pay the income from the ~rust
Estate to my daughter,RUTH ALEXANDER HANSON.At the time of her
death,or in the event that she predeceases me,then the income
shall be accumulated by the Trustee and distributed in accordance
with my directions for the distribution of the principal of this
Trust.The Trustee shall make income payments at least"semi-
annually.
B.
DISTRIBUTION OF PRINCIPAL FROM TRUST ESTATE
During the life of my daughter,RUTH ALEXANDER
HANSON,the Trustee may,at its sole discretion,distribute all
or any part of the principal of this Trust,as it from time to
time,finds necessary to promote the health,welfare and comfort
of my daughter,RUTH ALEXANDER HANSON.These payments may be
made directly to myfuughter or to such other person or institu-
tion as the Trustee desires.It is my wish that the Trustee act
liberally in fulfilling this Trust.
Furthermore,the Trustee may at its sole discretion,
distribute principal of this Trust as it from time to time finds
necessary,to promote the health,education and welfare of my
grandchildren,DEAN CHARLES HANSON and WILLIAM ALEXANDER HANSON:
These amounts may be paid to the person or persons standing in
the position of parent to the grandchildren.
At the time of the death of my daughter,RUTH ALEXANDER
HA~SON,or at my death if she predeceases me,the Trustee shall
hold the entire Trust for the benefit of my grandchildren,DEAN
CHARLES HANSON and WILLIAM ALEXANDER HANSON.The Trustee shall
accumulate the income and add it to the principal of the Trust,
and may at its sole discretion,continue to distribute principal
in order to promote the health,education and welfare of my
grandchildren.At the time that my youngest grandchild is twenty
five years of age,the Trustee shall immediately distribute all
funds remaining in its hands,both principal and income,equally
to my grandchildre~,DEAN CHARLES HANSON and WILLIAM ALEXANDER
HANSON.In the event that one of my grandchildren is not living
at that time,then his share shall be paid to any lineal descenda ts
which he may have,per stirpes.If he has no lineal descendants,
then his share shall be added and paid to the surviving grand-
child.
In the event that at the time of final distribution of
this Trust,there are surviving no lineal descendants of me or
my grandchildren,then the Trustee shall distribute the Ttust
Estate in accordance with the Intestate Laws of the Commonwealth
of Pennsylvania in effect at that time,and determine my heirs
as though I had died at that time.
THIRD:Each Executor or Trustee appointed in this Will shall
have the following powers and authority:
a)to retain any property received by them,including
the stock of any corporate fiducia~acting hereunder;
b)to invest in all forms of property without restriet on
to investments authorized for fiduciaries;
c)to operate any business,cause or join in any in-
corporation,partnership or recapitalization,merger,reo~gani
zation or voting trust plan;to delegate authority thereto;to
deposit investments under agreements and to pay assessments;and
generally to exercise all rights of investors;
d)to compromise controversies;
e)to exchange or sell for cash,property or credit,
publicly or privately,or to lease for any term regardless of
the duration of the trusts hereunder without liability on the
purchasers or lessees to see to the application of the considera-
tion,and to give options for these purposes without obligation
to repUdiate them in favor of a higher offer;
f)to apply income or principal to which any bene-
ficiary is entitled directly for his or her comfort,maintenance
and support,should they deem such beneficiary incapable of re-
ceiving the same by reason of age,illness or any infirmity or
incapacity,or to pay the same to such person as they select to
disburse it,whose receipt shall be a complete acquittance there-
for without the intervention of any Guardian;
g)to borrow money,including the right to borrow
from any corporate fiduciary acting hereunder and mortgage and
pledge as security;
h)to hold investments in the name of a nominee;
i)to distribute in cash or in kind or partly in
each,at valuations fi~ed by them;
j)to assume continuance of the status of any bene-
ficiary with reference to death,marriage,divorce,illness,in-

~apacity,or other change in the absence of information deemed
reliable without liability for disbursements made on such assump-
tion;and
k)to exercise any option permitted by law which they
believe advantageous from the viewpoint of overall tax reduction,
even though the effect is to increase the share of one beneficiar
hereunder at the expense of another and to make such adjustments,
if any,between beneficiaries with respect thereto as they deem
appropriate in view of the nature of the transaction and the
amounts involved.
