FIRST:I direct that the expenses of my last illness and funeral be paid out of my estate as soon as may be convenient after my death. SECOND:I give and bequeath to my daughter,MARGARET FORREST BROWN,all household goods,furniture,furnishings,pictures, paintings,silver,china,jewelry,automobiles,mementos,manuscripts, guns,medals and other tangible personal property,except books,which I have already given to The Citizens Library Association of Washington,Penna. I request that my daughter distribute these items in accordance with written instructions I have made available to her,and that she permit the household goods to be used by my sister,MRS.ALMA F.HILLER,under the conditions set forth in Paragraph NINTH of this Will. THIRD:I give and bequeath any book royalties to which I may be entitled to my daughter,MARGARET FORREST BROWN. FOURTH:I give and bequeath to my son-in-law,THOMAS P. ELEVENTH:All the residue of my estate,real and personal,and wherever situate.I give,devise and bequeath to MARGARET FORREST BROWN and MELLON NATIONAL BANK AND TRUST COMPANY.IN TRUST.NEVER- - 2 - I • THELESS,:/for the following uses and purposes: (A)The Trustees shall hold,manage,invest and reinvest said Trust Estate and shall distribute the net income (hereinafter called "Income") and principal from time to time as follow s: (1)During the lifetime of my daughter,MARGARET FORREST BROWN,the Trustees shall pay the Income quarter-annually to her or for her benefit. (2)Upon the death of my daughter,MARGARET FORREST BROWN, the Corporate Trustee shall divide the principal of the Trust Estate into the following shares to wit:one-third share for my granddaughter,CARROLL BROWN,or her issue if she then be deceased,and two-third share for my grandson,ROBERT F.BROWN,or his issue if he then be deceased.The aforementioned share as set apart for the issue of each deceased grandchild shall be transferred and delivered to such then living issue,per stirpes,sub- ject to the provisions of the minor beneficiary clause hereinafter contained. Each share set apart for a living grandchild shall be held in a separate trust. During such grandchild's minority the Trustee shall pay so much of the Income and principal as it deems advisable for such grandchildf s welfare,comfort, support and education,to the person having custody of him or her,without liability on the part of the Trustee to see to the application thereof,or shall use it directly for such purposes,and the remaining Income shall be added to principal to be invested as such.After said grandchild attains majority, the Trustee shall pay the Income quarter -annually to or for the benefit of said grandchild until he or she attains the age of twenty-six years,at which time one-half of the principal thereof shall be transferred and delivered to such grandchild,free of trust.The balance shall remain in trust under the same terms and conditions until such grandchild attains the age of thirty years,at which time the trust shall terminate and the then remaining principal and Income balances shall be delivered to such grandchild free and clear of trust. - 3 - (3)In the event either said grandchild should die before complete termination of his or her trust,the remaining principal shall be transferred and delivered,per stirpes,to such grandchildts then surviving issue,or if he or she has none,the remaining principal shall be added to the share for " my other grandchild and his or her issue,to be distributed as herein provided for their trusts. (4)In the event that any payment of Income hereinbefore authorized to be made to any beneficiary shall be insufficient in the opinion of the cor- porate Trustee to provide for the welfare,comfortable support and education of such beneficiary and members of his or her immediate family,the corporate Trustee is authorized in its discret ion to use from time to time so much of the principal of the trust from which such beneficiary is then entitled to receive Income as may in the opinion of said Trustee be advisable therefor,and,in the event of the death of any beneficiary,the corporate Trustee is authorized in its discretion to pay part or all of his or her funeral expenses. (B)If any beneficiary entitled to receive a share of principal here- under shall be a minor,such share shall not be distributed to him or her,but shall be retained by the Trustee until the beneficiary attains majority,at which time the principal shall be paid to him or her free of trust.During such minority,the Trustee shall pay so much of the Income and principal as they deem advisable for said minor!s welfare,comfortable support and education to the person having custody of him or her,without liability on the part of the Trustee to see to the application thereof,or shall use it direct for such pur- poses,and shall add the remaining Income to principal,to be invested as such. If such beneficiary dies while a minor,the Trustee is authorized in its discre- tion to pay part or all of his or her funeral expenses,and the remaining principal shall be paid to the persons entitled to his or her personal estate;PROVIDED, however,that the share thus accruing to the beneficiary of any other trust hereunder shall be added to such other trust. - 4 - (C)The interests of the beneficiaries hereunder shall not be subject to anticipation or to voluntary or involunt ary alienation;and the principal and Income shall be paid by the Trustees direct to or for the use of the beneficiary entitled thereto,without regard to any assignment,order, attachment or claim whatever. (D)Income accrued on any property received by the Trustees either at the inception of the trust or as an addition thereto shall be treated as income and not as principal.Upon the death of any beneficiary of Income, any undistributed Income then held by the Trustees for such beneficiary shall be paid to the person or persons for whose benefit the principal producing such Income is continued in trust or to whom it is distributed under the terms hereof.Corporate distributions received by the Trustees in the shares of the distributing corporation,regardless of the number and however described or designated by the distributing corporation,shall be deemed principal. (E)In the administration of the trusts herein created,the Trustees shall have,in addition to and not in limitation of any authority given to them by law and without the necessity of obtaining the consent of any court,the following powers:to accept in distribution of my estate and to retain invest- ments and property which are a part of my estate;to invest and reinvest the principal of the Trust Estate in any kind of property,real or personal,or part interest therein,without being restricted to investments which are legal for trust funds;to give options for sales,leases and exchanges;to borrow money;to sell,pledge,exchange or mortgage any real or per sonal property; to compromise claims;to lease real or personal property for terms exceeding five (5)years;to join in or oppose the merger,consolidation,reorganization or readjustment of the financial structure of any firm or corporation in which the Trust Estate may have an interest;to carry securities in the name of a nominee;and to distribute the Trust Estate either in cash or in kind. - 5 - (F)As between the Trustees,the corporate Trustee shall perform all ministerial and administrative duties,including the keeping of books and records,acting as custodian of the trust property and preparing all necessary tax returns.The individual Trustee shall have full power and authority to delegate from time to time to the corporate Trustee by an instrument in writing any or all of said individual Trusteets rights,powers and duties here- under to the end and purpose that the corporate Trustee may be enabled to act in all respects for both of the Trustees hereunder during the term of such delegation.In case of the death,resignation or incapacity of the individual Trustee,no successor shall be appointed,and the corporate Trustee shall have all powers and duties herein given to both Trustees. (G)The corporate Trustee may resign at any time by petitioning a court of competent jurisdiction to designate and appoint a successor corporate Trustee.In case of the merger or consolidation of the corporate Trustee,the resultant company shall become successor corporate Trustee hereunder without notice to any party. (H)The corporate Trustee shall be entitled to receive annually compensation for its services hereunder in accordance with its schedule of compensation currently in effect when the services are performed,but not in excess of such compensation as would be approved by a court of competent jurisdiction. TWELFTH:I appoint my daughter,MARGARET FORREST BROWN, and MELLON NATIONAL BANK AND TRUST COMPANY Executors of this my Will,giving and granting to my Executors the same broad powers of retention,sale,conversion,investment and management of my estate,real and personal,as are granted to my Trustees under this Will,and in addition the right to distribute my securities or other property in kind to my Trustees.
